TSTC is mandated to contribute to the educational and economic development of the State of Texas by offering occupationally oriented programs with supporting academic course work, emphasizing highly specialized advanced and emerging technical and vocational areas for certificates or associate degrees. Our mission, “to place more Texans in great paying jobs,” drives our institution. TSTC is pushing the boundaries in education, making outcomes the driving metric of success. We currently have 11 campuses across the state, with another new campus recently approved by the State Legislature that should be built and operating in the next few years. Purpose: Texas State Technical College (TSTC) is issuing this Request for Proposal (RFP) to obtain a qualified firm to serve as the Financial Advisor and Continuing Disclosure Agent. Our aim is to enhance financial strategies, optimize fiscal management, and ensure compliance with all relevant regulations. If a SIGNED Execution of Offer and HUB Subcontracting Plan is not submitted the bid will be disqualified (please make sure forms are signed when document is uploaded). TSTC anticipates the contract to exceed $100,000 and will require that a HUB Subcontracting Plan be submitted. Suppliers are not required to meet the State of Texas HUB goals however, TSTC requires that all suppliers make a good faith effort in achieving those goals. This agreement is valid for a period of three years, with no option to extend. Prices are fixed for the first three years, and any annual percentage increase will need to be approved by TSTC. Please see "Buyer Attachments" tab for RFP. General Notes: Q&A Board Message: If you have any questions concerning the project, please submit those through the Q&A Board. Please be aware when the Q&A session is over, no questions will be asked after this period. The Q&A board is not designed for generalized questions about TSTC's operations. Rsolution System Overview - "How To Navigate" 2. Provide a concise summary of the firm's founding, evolution, and areas of specialization. Emphasize the importance of relevant financial advisory experience. 3. Please provide a comprehensive list of your firm's engagements as a financial advisor or consultant within the State of Texas, focusing specifically on your involvement with the Texas higher education system and university financial matters. We are particularly interested in your experience with Tuition Revenue Bonds. For each engagement listed, kindly detail: I. The name of the client or project, II. The nature and scope of the financial advisory or consultancy services provided, III. Your firm's capacity and role in these engagements, IV. The outcomes or impacts of your services on the projects or clients served. 4. Please identify the individuals who will be designated as Financial Advisors to TSTC, including their full resumes. For each individual, kindly provide the following details: I. Clearly state the individual's name and current role within your firm. II. Attach their resume, emphasizing relevant financial advisory experiences. III. Describe the specific roles these individuals have assumed in past financial advisory relationships, particularly those relevant to educational institutions or public sector clients. IV. Highlight their unique expertise and explain how their skills and experiences will directly benefit TSTC in achieving its financial goals. 5. Please provide a concise overview of your firm's interactions and experience with major rating agencies over the past five years. This should include: I. Briefly describe the nature and scope of your engagements involving major rating agencies. II. Highlight any notable achievements or recognitions your firm has received from these agencies. III. Explain how your firm's experience with rating agencies adds strategic value to your financial advisory services, particularly in the context of supporting our institution's goals and financial health. 6. Please provide a detailed breakdown of your financial advisory fees, structured as follows: I. Specify your fee on a per $1,000 bond basis. II. Outline any other forms of compensation your firm may require, including but not limited to consultation fees, special project fees, or any other charges. Please provide the amount and a brief explanation for each type of compensation. III. For each fee and form of compensation listed, include a clear explanation of the services covered by these charges. 7. Discuss the firm's experience as related to arbitrage calculations and issues and provide a separate fee schedule for arbitrage/rebate services. 8. Please tell us about your experience with continuing disclosure services and share your fees for these services. 9. Please provide any additional information about your firm that you believe is relevant to being considered for selection as our Financial Advisor. 10.
