The contact information\nfor the manufacturer must be provided with the bid response so that CCS may verify vendor status with\nthe manufacturer of the television(s). Letters provided for prior bids shall not meet the requirement for\nthis bid. Failure to provide the manufacturer letter with bid proposal will render bid non-responsive.\n\nBasis for Rejection: Cumberland County Schools reserves the right to reject any and all offers, in whole\nor in part, by deeming the offer unsatisfactory as to quality or quantity, delivery, price or service offered:\nnon-compliance with the requirements or intent of this solicitation; lack of competitiveness; error(s) in\nspecifications or indications that revision would be advantageous to Cumberland County Schools;\ncancellation or other changes in the intended project, or other determination that the proposed\nrequirement is no longer needed; limitation or lack of available funds; circumstances that prevent\ndetermination of the best offer; or any other determination that rejection would be in the best interest of\nCumberland County Schools: Samples are not required prior to bid opening date; however, if required\nlater, bidder agrees to furnish samples of items offered at no expense to CCS within fourteen consecutive\ncalendar days after request is made by the State. Bids which do not comply with these requirements will\nbe subject to rejection.\n\nSamples: Samples are not required prior to bid opening date; however, if required later, bidder agrees to\nfurnish samples of items offered at no expense to CCS within fourteen (14) consecutive calendar days\nafter request is made by CCS. Bids which do not comply with these requirements will be subject to\nrejection.\n\nDescriptive Literature: All bids should be accompanied by complete and descriptive literature,\nspecifications and other pertinent data necessary for their evaluation as required by the attached General\nContract Terms and Conditions, otherwise, they may be subject to rejection. This information will allow\nCumberland County Schools to determine that the equipment meets all requirements. This technical\nliterature will be the primary source for bid evaluation. Ifa requirement is not addressed in the technical\nliterature it must be supported by additional documentation and included with the bid. Bid responses\nwithout sufficient technical documentation may be rejected.\n\nAward of Contract: The place of contract shall be North Carolina, where all matters, whether sounding\nin contract or tort, relating to its validity, construction, interpretation and enforcement shall be\ndetermined.\n\nBudgetary Limitations: Should it become necessary, based upon budgetary limitations, CCS reserves\nthe right to reduce or increase quantities. Therefore, bidders must include freight in the \u201ceach\u201d pricing for\neach line item, as well as identifying a per unit installation cost for each line item.\n\nTimeline for Complete Order: Cumberland County Schools reserves the right to order portions ofthe\ntotal devices in phases, not to exceed 12 months from date the bid is awarded. Purchase orders may be\nissued for one (1) or more devices per order. The price listed must be offered to Cumberland County\nSchools for the duration of 12 months for additional orders of the product listed in this bid. Ifthe product\noffered goes \u201cend of life\u201d during this period, the bidder agrees to honor the offered price for an equivalent\nor greater quality product that serves the same function as specified in the original bid.\n" "Delivery: Items called for herein will be furnished, delivered, off-loaded and left ready for use in\naccordance with the requirements stated herein. All cartons/packages must include the Cumberland\nCounty Schools Purchase Order number. The successful bidder will complete delivery within 30 calendar\ndays upon receipt of an official CCS purchase order unless otherwise stated below:\n\nDays\n\nCumberland County Schools reserves the right to consider the delivery time offered as a factor in the\naward of contract.\n\nDeviations: Deviations from specifications and requirements need to be documented on a separate sheet\nand attached to your bid. All item(s) offered is in strict compliance with these specifications and\nrequirements, and successful bidder will be held responsible therefore. Bidder is advised that the\nresponse (or lack thereof) on this question does not take precedence over specific responses or non-\nresponses provided elsewhere in this bid.\n\nInvoices: Cumberland County Schools is not exempt from North Carolina sales tax. Sales tax should be\ninvoiced as a separate line item. The serial numbers applicable to the devices must be included on the\ninvoice or with an attachment. Invoices may be emailed to:\n\ninvoices@ccs.k12.nc.us\n\nLate Bids: Regardless of cause, a late bid will not be accepted and will automatically be disqualified\nfrom consideration. It shall be the Vendor\u2019s sole risk to ensure delivery at the designated office by the\ndesignated time. Late bids will not be opened and may be returned to the Vendor at the expense of the\nVendor or destroyed if requested.\n\nAward Notification: After the bids have been evaluated and an award has been made, each vendor who\nsubmitted a bid will be notified ofthe award. The award may not be made for several weeks dependent\nupon the complexity of the acquisition and the length of time to complete the evaluation process.\n\nReferences: List below references where your company has supplied equipment similar to that proposed.\nCCS reserves the right to require upon its request a list of users of the exact model of equipment bid.\n\nCCS may contact these users to determine quality level of the offered equipment. Such information may\nbe considered in the evaluation of the bid.\n\nSITE DATE OF DELIVERY | CONTACT PERSON | PHONE NUMBER\n\nConfidentiality of Bids: In submitting its bid, the bidder agrees not to discuss or otherwise reveal the\ncontents of its bid to any source outside of Cumberland County Schools until after the award of the\ncontract. All bidders are advised that they are not to have any communications with CCS during the\nevaluation of the bids (after the public opening of the bids and before the award of the contract) unless\nCCS contacts the bidder for the purpose of seeking clarification. A bidder shall not: transmit to the\nissuing and or using agency any information commenting on the ability or qualifications of any other\nbidder to provide the advertised equipment, defects, errors and/or omissions in any other bidder\u2019s bid\nand/or prices at any time during and/or award of the contract that is subject ofthis IFB. Bidders not in\ncompliance with this provision may be disqualified, at the option of CCS, from the contract award.\n\n4\n" "Warranty: Bidder guarantees that all proposed equipment to be furnished is to be new and free from any\nand all defects in material and workmanship and agrees to replace promptly any part or parts which by\nreason of defective material or workmanship that fail under normal use, free of negligence or accident, for\na minimum period of twelve (12) months from the date put into operation. Such replacement shall\ninclude all parts, labor, freight and transportation cost to the equipment location, will be at no additional\ncost to the CCS.\n\nElectronic Procurement: Purchases shall be conducted through the NC eProcurement (eP) service. If\nnot already registered, the awarded bidder must register with eP within two (2) business days of\nnotification of award in order to receive an electronic purchase order resulting from award of this\ncontract. The successful bidder(s) shall pay to NC eProcurement a transaction fee, currently 1.75%\n(.0175) on the total dollar amount of goods, supplies, materials or equipment (excluding sales taxes) of\neach purchase order issued through the eP service. This applies to all purchase orders, regardless of the\nquantity or dollar amount of the purchase order.\n\nFor registration or questions, NC eProcurement may be contacted at 888-211-7440 (option 2 for vendors).\nFEDERAL UNIFORM GUIDANCE\n\nThis purchase contract will be funded with Federal grants and as such shall be subject to the following\nadditional provisions.\n\na.) Legal/Contractual/Administrative Remedies for Breach of Contract \u2014 For contracts in excess\nof the simplified acquisition threshold (SAT), currently set at $250,000, unless otherwise\nexpressly stated to the contrary in the contract, and subject to various applicable Code of\nFederal Regulations (C.F.R.) and other regulations, such as 2 C.F.R. Part 200, Cumberland\nCounty Schools (CCS) will fully seek reimbursement from the contractor for noncompliance\nwith the performance of this contract.\n\nb.\n\n\u2014_\n\nTermination for Cause or Convenience \u2014 Any notice or termination made under this Contract\nshall be transmitted via US Mail, Certified Return Receipt Requested. The period of notice\nfor termination shall begin on the day the return receipt is signed and dated.\n\n1. The parties may mutually terminate this Contract by written agreement at any time.\n\n2. CCS may terminate this Contract, in whole or in part, pursuant to Paragraph 21, or\npursuant to the Special Terms and Conditions in the Solicitation Documents, if any, or for\nany of the following:\n\ni. Termination for Cause: In the event any goods or service furnished by the Vendor\nduring performance of any Contract term fails to conform to any material requirement of\nthe Contract, and the failure is not cured within the specified time after providing written\nnotice thereofto Vendor, CCS may cancel and procure the articles or services from other\nsources; holding Vendor liable for any excess costs occasioned thereby. The rights and\nremedies of CCS provided above shall not be exclusive and are in addition to any other\nrights and remedies provided by law or under the Contract. Vendor shall not be relieved\nof liability to CCS for damages sustained by CCS arising from Vendor's breach of this\nContract; and CCS may, in its discretion, withhold any payment due as a setoff until such\ntime as the damages are finally determined or as agreed by the parties. Voluntary or\ninvoluntary Bankruptcy or receivership by Vendor shall be cause for termination.\n\nii. Termination for Convenience Without Cause: CCS may terminate service and\nindefinite quantity contracts, in whole or in part by giving 30 days prior notice in writing\nto the Vendor. Vendor shall be entitled to sums due as compensation for Deliverables\n\n5\n\n"
