Corps Water Infrastructure Finance Program Legal Advisory Services

This announcement constitutes a Request for Proposals (RFP) in accordance with Federal Acquisition Regulation (FAR) Part 12 "Acquisition of Commercial Products and Commercial Services", and supplemented by FAR Part 15 "Contracting by Negotiation". The NAICS code is 541111 "Offices of Lawyers". The Government anticpates award of a commercial service contract consisting of an 18-month period of performance for the base tasks and several option tasks which may extend for up to 18-months from date of award of the option. The total period of performance is not to exceed 36 months. Contract Line ITems for this contract are predominantly Firm Fixed Price. There are some Cost Plus Fixed Fee line items. Award will be made based on the best value to the Government using a subjective tradeoff source selection process. Description of the Requirement: The purpose of this contract will be to provide legal advisory services to the United States Army Corps of Engineers (USACE) Corps Water Infrastructure Finance Program (CWIFP), to support the underwriting, structuring, negotiating, and closing of loans and loan guarantees authorized under the Water Infrastructure Finance and Innovation Act (WIFIA).The selected Contractor shall provide the level of effort, material, equipment, and facilities necessary to support the tasks listed in this performance work statement (PWS). Generally, this shall include assisting USACE in evaluating the existing debt structure of borrowers; drafting, reviewing, and negotiating the legal terms and conditions in the credit agreements and other loan documentation for Federal credit assistance; and providing post-closing legal support services as needed. The Contractor shall also assist USACE in providing other legal support to the CWIFP as needed to support the effective underwriting and servicing of CWIFP loans.See the attached SF1449 and support attachments for additional information. Amendment 001 is to provide Answers to Questions and extend the due date/time to Tuesday 23 April 2024 at 430PM EDT.
