EVERY DAY.\n" "FIRST RENEWAL FOR ASBESTOS ENVIRONMENTAL CONSULTING SERVICES\nON A CONTINUING CONTRACT SERVICES BETWEEN\nTHE SCHOOL BOARD OF DUVAL COUNTY, FLORIDA, AND\nGLE ASSOCIATES, INC.\n\nThis First Renewal for Asbestos Environmental Consulting Services (the\n\u201c\"Amendment\u201d) is made effective April 1, 2022, by and between the School Board of Duval\nCounty, Florida, a school system in the State of Florida (the \"OWNER\u201d), and GLE\nAssociates, Inc., a Florida corporation, 5405 Cypress Center Drive, Suite 110, Tampa, FL\n33609, Federal 1.D. No. 59-2975164 (the \"CONSULTANT\u201d) for continuing annual contract\nservices in accordance with s. 287.055, Florida Statutes.\n\n1. Background. This Amendment pertains to certain Services between the\nparties commencing from the OWNER issued RFQ No. 10-21/TW dated October 22, 2020,\ntogether with Addendum No. 1 dated November 13, 2020, Addendum No. 2 dated November\n16, 2020, and Addendum No. 3 dated November 18, 2020 (collectively, the RFQ), obtaining\nthe credentials of prospective services for the Asbestos Environmental Services Consulting\nContinuing Contract (herein referred to as the \"RFQ\u201d, the terms and conditions of which are\nincorporated herein by this reference). The Agreement hereby consists of and does not\ndeviate from the Agreement effective April1, 2021, except as stated below.\n\n2. Effective Date. The effective date of this Amendment is April 1, 2022:\n\n3. Definitions. The capitalized terms used herein shall have the same definitions\nset forth in the Agreement, unless specifically otherwise indicated in this Amendment.\n\n4, Renewal Term. The OWNER and CONSULTANT hereby agree that the term\nofthe Agreement, which is scheduled in the Agreement to end on March 31, 2022, is hereby\nextended for a first renewal commencing immediately upon the expiration ofthe existing term\nand ending on March 31, 2023, with such renewal term to be upon and subject to all terms,\nprovisions and conditions of the Agreement except as modified in this Amendment.\n\n5. Compensation. The OWNER agrees to pay the CONSULTANT as\ncompensation for its services for each specific designated project as hereinafter set forth in\nthe written Authorization from the Owner. The OWNER agrees to compensate the\nCONSULTANT for completed work as per the schedule of fees amended and attached in\n\nExhibit B (Amended).\n\n6. Authority. The OWNER and CONSULTANT represent and warrant to each\nother that each party has full right and authority to execute and perform its obligations under\nthe Agreement as modified by this Amendment, and each party and the person(s) signing\nthis Amendment on each party\u2019s behalf represent and warrant to the other party that such\nperson(s) are duly authorized to execute this Amendment on the respective party's behalf\nwithout further consent or approval by anyone.\n\n7. Miscellaneous. This Amendment is the entire agreement of the parties\nregarding modifications of the Agreement provided herein, supersedes all prior agreements\nand understandings regarding such subject matter, may be modified only by a writing\nexecuted by the party against whom the modification is sought to be enforced, and shall bind\nand benefit the parties and their respective successors, legal representatives, and assigns.\nThe Agreement is ratified and confirmed in full force and effect in accordance with its terms,\nas amended hereby.
