This is an annual bid subject to bid extensions for up to 3 years on a as needed basis. Vendors that were awarded in a previous bid (RFP #23-018) HAVE to respond to this bid if they wish to continue being a vendor. All questions can be emailed to Lopezja@raymondvilleisd.org. The District recommends you either hand deliver the RFP response to the Purchasing Office at the following address: Raymondville ISD Purchasing Department 419 FM 3168 Raymondville, Texas 78580 or have it delivered by a courier type service,
such as FedEx or UPS, etc., with a recipient’s signature and documented time of delivery. Proposals submitted via the U.S. Postal Service are to be mailed to: Raymondville ISD Purchasing Department 419 FM 3168 Raymondville, Texas 78580 The U.S. Postal Service mail goes to our warehouse to be processed before delivery to the departments. NOTE: Delivery of Proposal envelope to other Departments within the Raymondville Independent School District is not considered as delivery to the Purchasing Department. You may mail the response in time, but it may not be received in the Purchasing Office in a timely fashion, and therefore will be rejected. Proposals received at the RISD Purchasing Department after the time and date specified above will not be considered and will be filed unopened. PROCESS OVERVIEW: This section outlines the steps in the procurement process. Questions must be submitted in writing no later than August 1, 2022 by 5:00 pm CST. Responses to questions, if required, will be posted on the district’s website by September 27th, 2023. It is the proposer’s responsibility to check this website for addenda postings prior to submitting responses. 2.3. All Proposers must execute the REQUIRED FORMS enclosed (or otherwise requested herein) for the RFP to be considered responsive. The name of the representative on these forms should be the same. All supplemental information required by the RFP Form must be included with the RFP. Failure to provide complete and accurate information may disqualify the Proposer. 2.4. If any exceptions are taken to any portion of this RFP, the Proposer must clearly indicate the exception taken and include a full explanation on the Deviation/Compliance Form (See Required Forms), or as a separate attachment to the RFP. The failure to identify exceptions or proposed changes will constitute acceptance by the proposer of the RFP as proposed by the District. The District reserves the right to reject a RFP containing exceptions, additions, qualifications or conditions. 2.5 Raymondville ISD is exempt from federal excise taxes, state and local sales taxes and use taxes. 2.6 Award/Evaluation of Proposals a. The Raymondville Independent School District reserves the right to accept or reject all or any part of any proposal, waive minor proposal formalities/technicalities and award the proposal deemed to be most advantageous to the District. b. The District reserves the right to award to a single proposer, multiple proposers, each line item separately or in any combination it determines to be in its best interest. c. Responses and offers must remain open for acceptance for a period of thirty (30) days subsequent to the opening of RFPs, unless otherwise indicated, to allow time for the offer(s) to be evaluated and Board of Trustees action, if required. d. The successful bidder(s)/proposer(s) will be notified in writing (manifested by an award letter or properly executed purchase order) after review and acceptance by the District. mailto:longoriad@raymondvilleisd.org Page | 5 3.0 RAYMONDVILLE ISD TERMS AND CONDITIONS 3.1 In submitting a RFP, Proposer understands and agrees to be bound by the following terms and conditions which shall be incorporated into any future contracts, agreements, or purchase orders relating to this RFP between the firm and the District. 3.2 ASSIGNMENT The successful Proposer may not assign its rights and duties under an award without the written consent of the District. Such consent shall not relieve the assignor of liability in the event of default by its assignee. 3.3 TERMINATION Raymondville ISD shall have the right to terminate for default all or part of a resulting contract if the firm breaches any of the terms hereof or if the firm becomes insolvent or files any petition in bankruptcy. Such right of termination is in addition to and not in lieu of any other remedies which Raymondville ISD may have in law or equity, specifically including, but not limited to, the right to collect for damages or demand specific performance. Raymondville ISD has the right to terminate a resulting contract for convenience, without penalty, for non-appropriation or non-availability of funds by delivery to the proposer of a “Notice of Termination” specifying the extent to which performance hereunder is terminated and the date upon which such termination becomes effective. Raymondville ISD may terminate a resulting contract and debar the firm from future “bidding” for violations of the federal requirements including, but not limited to, “Contract Work Hours and Safety Standards Act”, “Equal Employment Opportunity Act”, and “Energy Policy and Conservation Act”. 3.4 INDEMNIFICATION The Raymondville ISD is a Texas Political Subdivision and a local governmental entity; therefore, is prohibited from indemnifying third parties pursuant to the Texas Constitution (Article 3, Section 52) except as specifically provided by law or as ordered by a court of competent jurisdiction. 3.5 REMEDIES The parties shall be entitled to exercise any right or remedy available to it either at law or in equity, subject to the choice of law, venue and service of process clauses limitations agreed herein. Nothing in this agreement shall commit the Raymondville ISD to an arbitration resolution of any disagreement under any circumstances. Any Claim arising out of or related to the Contract, except for those specifically waived under the terms of the Contract, may, after denial of the Board of Trustees, be subject to mediation at the request of either party. Any issues not resolved hereunder must be referred to non-binding mediation to be conducted by a mutually agreed upon mediator as a prerequisite to the filing of any lawsuit over such issue(s). The parties shall share the mediator’s fee and any associated filing fee equally. Mediation shall be held in Willacy County, Texas. Agreements reached in mediation shall be reduced to writing, and will be subject to the approval by the District’s Board of Trustees, signed by the Parties if approved by the Board of Trustees, and, if signed, shall thereafter be enforceable as provided by the laws of the State of Texas. Page | 6 3.6 CHOICE OF LAW This agreement and any addenda or other additions and all contracts or awards resulting from this procurement process, however described, shall be governed by, construed and enforced in accordance with the laws of the State of Texas, regardless of any conflict of laws principles. 3.7 JURISDICTION AND SERVICE OF PROCESS Any Proceeding arising out of or relating to this procurement process or any contract resulting from or any contemplated transaction shall be brought in a court of competent jurisdiction in Willacy County, Texas and each of the parties irrevocably submits to the exclusive jurisdiction of said court in any such proceeding, waives any objection it may now or hereafter have to venue or to convenience of forum, agrees that all claims in respect of the Proceeding shall be heard and determined only in any such court, and agrees not to bring any proceeding arising out of or relating to this procurement process or any contract resulting from or any contemplated transaction in any other court. 3.8 ALTERNATIVE DISPUTE RESOLUTION Prior to filing of litigation, the parties may select non-binding mediation as a method of conflict resolution for issues arising out of or relating to this procurement process or any contract resulting from or any contemplated transaction. The parties agree that if non-binding mediation is chosen as a resolution process, the parties must agree to the chosen mediator(s) and that all mediation venues shall be at a location in Willacy County, Texas agreed by the parties. The parties agree to share equally the cost of the mediation process and venue cost. 3.9 ACTS OR OMISSIONS The successful vendor will be expected to indemnify and hold harmless the Raymondville ISD, its officers, employees, agents, representatives, contractors, assignees and designees from and against any and all liability, actions, claims, demands or suits, and all related costs, attorney’s fees and expenses arising out of, or resulting from any acts or omissions of the vendor or its agents, employees, subcontractors, or suppliers in the execution or performance of any agreements ultimately made by Raymondville ISD and the vendor. 3.10 CONTRACT GOVERNANCE Any contract made or entered into by the Raymondville ISD is subject to and is to be governed by Section 271.151 et seq, Tex Loc Gov’t Code. Otherwise, Raymondville ISD does not waive its governmental immunities from suit or liability except to the extent expressly waived by other applicable laws in clear and unambiguous language. 3.11 PAYMENT TERMS Raymondville ISD pays net 30 or at point of sale and complies with the State of Texas payment law, Texas Government Code, Chapter 2251. See statute for specifics or consult your legal counsel. 3.11.1 Payment will be made within 30 days after the later of, receipt of goods/services and a properly submitted invoice. The district considers an invoice properly submitted when the following conditions are met: a. Invoice is received at the address indicated on the purchase order Page | 7 b. Pricing on the invoice matches the price on the purchase order c. Include a description of the goods or services provided, the purchase order number, invoice number and any applicable cash discount. d. Quantities on the invoice do not exceed those specified on the Purchase Order e. Unique invoice number used for each billing f. Merchandise has been shipped or service performed. g. Description of goods and services on the invoice shall match the description on the Purchase Order. Cash/prompt payment discounts offered will not be considered in determining the award but will be taken if earned. Purchase Orders will serve as the award instrument(s) against this Request for Proposal. Orders will be placed as items are approved for purchase and funds become available. 3.12 FUNDING OUT CLAUSE Pursuant to Texas Local Government Code Sec. 271.903, any Proposal/Offer accepted by Raymondville ISD and all contracts to be approved are subject to the budgeting and appropriation of then currently available funds. See statute for specifics or consult your legal counsel. Funds are presently available for fiscal year 2015-2016. Should the Raymondville ISD Board of Trustees not approve funds for this service for subsequent years, any contract resulting from this Request For Proposal will automatically terminate on the last day of the school fiscal year for which funds have been appropriated at no further cost or obligation to the District. 3.13 CRIMINAL HISTORY CHECKS During the term of this agreement, the firm’s employees have the potential to have continuing duties and direct contact with students. Subsequently, the company is responsible for complying with Texas Education Code § 22.0834. Supplier may not commence work until all employees have been approved by the Purchasing Department. The Raymondville Independent School District requires that all individuals who perform services on RISD property pursuant to this Request For Proposal to have a criminal background check. Prior to the provision of services by any such individual, the proposer shall be responsible for providing to RISD a criminal background check that was completed and dated within (1) year of the proposed dates of service and that is sufficient to meet the standards determined by RISD in its sole discretion. Failure to provide an acceptable and up-to-date criminal background check for each individual providing services under this Request For Proposal shall be grounds for immediate termination of any contracts or agreements. 3.14 INSURANCE REQUIREMENTS The Insurance Requirements in the Required Documents section apply to this Proposal Invitation and any resulting award. The Insurance Certificate is not required to be submitted with this proposal; however, if proposer is to receive an award, the certificate must be submitted to the Raymondville ISD Purchasing Office prior to commencement of work on District Property within five (5) days of verbal or written request by the Purchasing Office (whichever is earlier). Page | 8 3.15 EXCLUSIVITY OF AWARD Any awards or contracts resulting from this document and the process described herein are not an exclusive award or a guaranteed quantity or volume and the Raymondville ISD reserves the right to purchase goods or services described herein from other sources, unless the specifications herein and resulting contract documents expressly provide to the contrary in which case the contract provision will control for this provision. 3.16 INDEPENDENT CONTRACTOR It is understood that in the performance of any services herein provided, for Contractor shall be, and is, an independent contractor, and is not an agent or employee of the District and shall furnish such services in its own manner and method, except as required by this contract. Further, Contractor has, and shall retain the right to exercise full control over the employment, direction, compensation, and discharge of all persons employed by Contractor in the performance of the services hereunder. Contractor shall be solely responsible for, and shall indemnify, defend, and save the District harmless, from all matters relating to the payment of its employees, including compliance with Social Security, withholding, and all other wages, salaries, benefits, taxes, exactions, and regulations of any nature whatsoever. 3.17 RECORDS Upon request by Raymondville ISD, any duly authorized representative of Raymondville ISD shall, until three (3) years after final payment under this Agreement, have access to and right to examine directly pertinent books, papers, documents, accounts, and records of Seller involving transactions related to this Agreement and to examine Seller’s place of business as necessary to determine whether the terms of this Agreement are being carried out. This audit will be conducted at a location where those business documents are being held at the time of the audit request. Seller shall be required to maintain such records for three years after final payment. 3.18 FEDERAL FUNDING Federal Acquisition Regulation (FAR) contract clauses, which may be required for orders placed using federal funds, are herein incorporated as follows: a. The award will be for the 2022-2023 fiscal year period. These services shall be purchased on an "AS NEEDED" basis, with Raymondville ISD making the sole determination of need. Multiple vendor awards are anticipated to provide the district with a variety of resources for needed services. All suppliers agree to provide service as required within the time limitations designated by the Raymondville ISD (upon receipt of an RISD Purchase Order). Specific services requested include: a. Licensed Psychologists b. Licensed Specialists in School Psychology, c. Texas Certified Educational Diagnosticians, d. Licensed Physical Therapists, Licensed Occupational Therapists, e. Optometrists/Ophthalmologists (MD), f. Licensed Speech-Language Pathologists, g. Educational Specialist in Rett Syndrome/Multiple Disabilities, h. Certified Deaf/Hard of Hearing Teacher, i. Board Certified Child & Adolescent Psychiatrist (MD), j. Board Certified Behavior Analysis (BCBA), k. Registered Music Therapist, Certified Interpreter of the Deaf, l. Licensed Audiologists, Board Certified Otologists (MD), m. Educational Consultants with Expertise in Behavior and, n. Educational Consultants with Expertise in Instructional/Intervention Resources o. Dyslexia Specialists 4.2 Does your firm fit the IRS definition of an Independent Contractor? People such as doctors, dentists, veterinarians, lawyers, accountants, contractors, subcontractors, public stenographers, or auctioneers who are in an independent trade, business, or profession in which they offer their services to the general public are generally independent contractors. However, whether these people are independent contractors or employees depends on the facts in each case. The general rule is that an individual is an independent contractor if the payer has the right to control or direct only the result of the work and not what will be done and how it will be done. The earnings of a person who is working as an independent contractor are subject to Self-Employment Tax. If you are an independent contractor, you are self-employed. To find out what your tax obligations are, visit the Self-Employed Tax Center. You are not an independent contractor if you perform services that can be controlled by an employer (what will be done and how it will be done). This applies even if you are given freedom of action. What matters is that the employer has the legal right to control the details of how the services are performed. If an employer-employee relationship exists (regardless of what the relationship is called), you are not an independent contractor and your earnings are generally not subject to Self-Employment Tax. For more information on determining whether you are an independent contractor or an employee, refer to the section on Independent Contractors or Employees. 11 4.3 Raymondville ISD Background Raymondville ISD has an enrollment of approximately 2,100 students. The district has two elementary schools, one middle school, and one high school. The District is also the fiscal agent for the Wil-Cam Special Education Cooperative and provides services for San Perlita ISD, Santa Rosa ISD, and Lasara ISD. 4.4 Services Requested Services requested include special education related evaluation, consultation, professional staff development, program improvement, and direct services as defined below: Consulting: Transference of specific knowledge from a professional with wide knowledge of a specific subject in the area of special education. These services may include providing advice to teachers, staff and parents about disabilities and other areas associated with special education trends and issues. Evaluation: A process of collecting information both formally and informally from a number of sources about a specific student. Evaluations may include standardized tests and other measures whose results may lead to determine if a student meets state and federal eligibility criteria as a child with a special education disability. Professional Staff Development: Activities to enhance professional career growth for teachers and other educational staff in specific areas related to special education. Program Improvement: The process of assisting special education administrators and other personnel in improving special education programs in the District. Improvement targets may result from advice from professionals with expertise in the areas needing improvement. Direct Services: Services given to students as recommended by their IEP. Examples include therapy and counseling for the educational setting. 4.5 Procurement Process A. Raymondville ISD anticipates selecting from each category listed above, through the “evaluation” process. The vendor’s selected will be experienced and have demonstrated excellence in the discipline identified. When needs arise, the District will select an approved firm. B. Recommendation of Firms The Raymondville ISD review committee will recommend firms for Board of Trustee Approval, if required, and subsequent approval. 4.6 Service Provider Responsibilities: a. Comply with all federal, state, and local policies, procedures, and guidelines for determining eligibility for services b. Provide services based upon best practices in the field c. Comply with all provisions of the licensing law under which he or she is accountable d. Provide all required paperwork in a timely manner e. Certify that any service professional placed in the District has been cleared through a nationwide criminal background check and fingerprinted. f. Remove any provider whose background, training, or skills do not meet the standards of the District (as solely determined by the District) g. Be expected to be in compliance with all Texas licensing and certification requirements to do business in Texas and provide the described services h. Be expected to comply with all applicable Federal and State laws related to education of 12 disabled students and the District's policies, practices and procedures in connection therewith i. Must comply with all laws and regulations protecting the rights of privacy and confidentiality of the District's students and personnel j. Provide transportation to one or multiple schools or departments k. Services may be provided on a RISD campus, office of provider (if service is evaluation), administration building or at available district sites. Observation of student at their assigned campus and teacher/staff interviews are required for evaluation purposes l. Contractors must provide their own test kits, protocols, and any printed materials including handouts. Subcontractor services are not permitted. m. Attend meetings which may include but may not be limited to Admission Review Dismissal (ARD)/Individualized Education Program (IEP) committee meetings, staff meetings with school personnel and meetings regarding special education legal issues n. Provide written reports of disability that meet district, state and federal special education guidelines and reports on recommendations/proposals may be required as stated on Statement of Work. o. Full and Individual Evaluation and disability reports must contain all necessary components as mandated by law. The Legal Framework available on the TEA website contains this information. Provide audio/visual equipment for presentations (computer/laptop, microphone, etc.) as requested/required as well as internet service. b. Pursuant to Federal Rule (D) above, when RAYMONDVILLE ISD expends federal funds during the term of an award for all contracts and subgrants for construction or repair, Vendor will be in compliance with all applicable Davis-Bacon Act provisions. Does Vendor agree? YES Initials of Authorized Representative of Vendor E) Contract Work Hours and Safety Standards Act (40 U.S.C. 3701-3708). Where applicable, all contracts awarded by the non-Federal entity in excess of $100,000 that involve the employment of mechanics or laborers must include a provision for compliance with 40 U.S.C. 3702 and 3704, as supplemented by Department of Labor regulations (29 CFR Part 5). Under 40 U.S.C. 3702 of the Act, each contractor must be required to compute the wages of every mechanic and laborer on the basis of a standard work week of 40 hours. Work in excess of the standard work week is permissible provided that the worker is compensated at a rate of not less than one and a half times the basic rate of pay for all hours worked in excess of 40 hours in the work week. The requirements of 40 U.S.C. 3704 are applicable to construction work and provide that no laborer or mechanic must be required to work in surroundings or under working conditions which are unsanitary, hazardous or dangerous. These requirements do not apply to the purchases of supplies or materials or articles ordinarily available on the open market, or contracts for transportation or transmission of intelligence. Pursuant to Federal Rule (E) above, when RAYMONDVILLE ISD expends federal funds, Vendor certifies that Vendor will be in compliance with all applicable provisions of the Contract Work Hours and Safety Standards Act during the term of an award for all contracts by RAYMONDVILLE ISD resulting from this procurement process.
