The proposals will be opened at this time. Proposals must be signed to be considered.\nLate proposals cannot be considered. Faxed or emailed proposals cannot be considered.\n\nIf you download this Request for Proposals from the County\u2019s website, it will be your responsibility to check\nthe web site for any addenda that might be issued for this solicitation. The County cannot not be responsible\nfor a vendor not receiving information provided in any addendum.\n\nChief Procurement Officer\n" "GENERAL TERMS AND CONDITIONS\n\nRFP 2397-P: Business Personal Property Compliance Audits\n\nDefinitions:\n\nRFP: Request for Proposals.\n\nOfferor: A company or individual who submits a proposal in response to this RFP.\nSuccessful Offeror: The offeror that is awarded a contract.\n\nContractor: The Successful Offeror, upon execution of the contract.\n\nCounty: Fayette County, Georgia.\n\neneocrp\n\nPreparation of Offers: It shall be the responsibility of the Offeror to examine specifications,\nscope of work, schedule and all instructions that are part of this request for proposal. Failure to\nobserve any of the instructions or conditions in this request for proposal may result in rejection of\nthe offer.\n\nAll of the specifications and information contained in this Request for Proposal, unless specifically\nexcepted in writing by the Offeror and such exceptions being included with the offer, will form the\nbasis of the contract between the Successful Offeror and the County. The Offeror should take care\nto answer all questions and provide all requested information.\n\nSubmission of Offers: Offerors must submit their proposal, along with any amendments issued by\nthe County, in a sealed opaque envelope. Price schedules shall be placed in an additional opaque\nsealed envelope, identified as the price schedule, and enclosed in the sealed envelope with the\nproposal.\n\nMail or deliver one original, unbound proposal, signed in ink by a company official authorized to\nmake a legal and binding offer, five bound paper copies, and a copy on a flash drive (do not\n\ninclude the Price Schedule on the flash drive) to:\n\nFayette County Government\nPurchasing Department\n\n140 Stonewall Avenue West, Suite 204\nFayetteville, GA 30214\n\nRFP Number: 2397-P\nRFP Name: Business Personal Property Compliance Audits\n\nTimely Receipt: Offers not received in the Purchasing Department by the time and date of the\nscheduled proposal opening will not be considered.\n\nOpen Offer: To allow sufficient time for a contract to be awarded, the offer, once submitted and\nopened, shall remain open for acceptance for a period of at least ninety (90) days from the date of\nthe opening to the date of award\n\nCorreetions or Withdrawals: The Offeror may correct a mistake or withdraw a proposal before\nthe proposal opening date by sending written notification to the Director of Purchasing. Proposals\nmay be withdrawn after the opening only with written authorization from the Director of\nPurchasing.\n" "Defects or Irregularities: The County reserves the right to waive any defect or irregularity in any\nproposal received. In case of a discrepancy between unit prices and extended prices, the unit price\nwill govern unless the facts or other considerations indicate another basis for correction of the\ndiscrepancy.\n\nTrade Secrets \u2014- Confidentiality: If any person or entity submits a bid or proposal that contains\ntrade secrets, an affidavit shall be included with the bid or proposal. The aff\u0131davit shall declare the\nspecific included information which constitutes trade secrets. Any trade secrets must be either (1)\nplaced in a separate envelope, clearly identified, and marked as such, or (2) at a minimum, marked\nin the affidavit or an attached document explaining exactly where such information is, and\notherwise marked, highlighted, or made plainly visible. See Georgia law at 0.C.G.A. $ 50-18-72\n\n(A)GH).\n\nEthics \u2014 Disclosure of Relationships: Before a proposed contract in excess of $10,000.00 is\nrecommended for award to the Board of Commissioners or the County Administrator, or before\nthe County renews, extends, or otherwise modifies a contract after it has been awarded, the\nContractor must disclose certain relationships with any County Commissioner or County Official,\nor their spouse, mother, father, grandparent, brother, sister, son or daughter related by blood,\nadoption, or marriage (including in-laws). A relationship that must be reported exists if any of\nthese individuals is a director, officer, partner, or employee, or has a substantial financial interest\nthe business, as described in Fayette County Ordinance Chapter 2, Article IV, Division 3 (Code of\nEthics).\n\nIf such relationship exists between your company and any individual mentioned above, relevant\ninformation must be presented in the form of a written letter to the Director of Purchasing. You\nmust include the letter with any bid, proposal, or price quote you submit to the Purchasing\nDepartment.\n\nIn the event that a Contractor fails to comply with this requirement, the County will take action as\nappropriate to the situation, which may include actions up to and including rejection of the bid or\noffer, cancellation of the contract in question, or debarment or suspension from award of a County\ncontract for a period of up to three years.\n\n. Evaluation of Offers: The evaluation of offers and the determination as to acceptability of\n\nservices offered shall be the responsibility of the County. Accordingly, to ensure that sufficient\ninformation is available, the Offeror may be required to submit literature, samples, or other\ninformation prior to award. The County reserves the right to obtain clarification or additional\ninformation from any firm regarding its proposal. The County reserves the right to select a\nresponsive, responsible firm based on best value that is deemed to be most advantageous to the\nCounty. The County further reserves the right to reject any proposal, or all proposals, and to re-\nrelease the request for proposals.\n\n. Non-Collusion: By responding to this Request for Proposals, the Offeror shall be deemed to have\n\nrepresented and warranted that the proposal is not made in connection with any other Offeror\nsubmitting a separate response to this request for proposals and is in all respects fair and without\ncollusion or fraud.\n" "12;\n\nAbility To Perform: The Offeror may be required, upon request, to provide to the satisfaction of\nthe County that he/she has the skill, experience, and the necessary facilities, as well as sufficient\nfinancial and human resources, to perform the contract in a satisfactory manner and within the\nrequired time. If the available evidence is not satisfactory to the County, the County may reject\nthe offer.\n\n. Notice to Proceed: The County shall not be liable for payment of any work done or any costs\n\nincurred by any Offeror prior to the County issuing a written Notice to Proceed.\n\n. Term of Contract: The initial term of this agreement shall begin on July 1, 2024 and continue for\n\na period of one year through June 30, 2025. Thereafter, this agreement may be renewed for two\nadditional one-year renewal terms (each a \u201cRenewal Term\u201d and together with the Initial Term, the\n\u201cTerm\u201d) if the Contractor requests such renewal at least sixty (60) days prior to expiration of the\nInitial Term or the then-current Renewal Term. If the Contractor fails to request renewal, this\nAgreement may terminate at the end of the Initial Term or the then-current Renewal Term. This\nagreement is subject to the multi-year contractual provisions of 0.C.G.A. $ 36-60-13(a).\n\n. Unavailability of Funds: This contract will terminate immediately and absolutely at such time as\n\nappropriated and otherwise unobligated funds are no longer available to satisfy the obligations of\nthe County under the contract.\n\n. Payment Terms: The County\u2019s standard payment terms are Net 30. Any deviation from standard\n\npayment terms must be specified in the awarded contract, and both parties must agree on such\ndeviation.\n\n. Severability: The invalidity of one or more of the phrases, sentences, clauses, or sections\n\ncontained in the contract shall not affect the validity of the remaining portion of the contract. If\nany provision of the contract is held to be unenforceable, then both parties shall be relieved of all\nobligations arising under such provision to the extent that the provision is unenforceable. In such\ncase, the contract shall be deemed amended to the extent necessary to make it enforceable while\npreserving its intent.\n\n. Indemnification: The Contractor shall indemnify and save the County and all its officer, agents\n\nand employees harmless from all suits, actions, or other claims of any character, name and\ndescription brought for or on account of any damages, losses, or expenses to the extent caused by\nor resulting from the negligence, recklessness, or intentionally wrongful conduct of the Contractor\nor other persons employed by or utilized by the Contractor in the performance of the contract. The\nContractor shall pay any judgment with cost which may be obtained against the County growing\nout of such damages, losses, or expenses, but only to the extent such damages, costs and expenses\nare adjudicated to have been caused by or resulted from the negligence, recklessness, or\nintentionally wrongful conduct of the Contractor or other persons employed or utilized by the\nContractor in the performance of the contract.\n\n. Non-Assignment: Assignment of any contract resulting from this Request for Proposals will not\n\nbe authorized, except with express written authorization from the County.\n" "20. Insurance: The Successful Offeror shall procure and maintain the following insurance, to be in\n\n21:\n\n22.\n\n23.\n\n24.\n\neffect throughout the term of the contract, in at least the amounts and limits set forth as follows:\n\n\u00b0e General Liability Insurance: $1,000,000 combined single limit per occurrence,\nincluding bodily and personal injury, destruction of property, and contractual\nliability.\n\ne Automobile Liability Insurance: $1,000,000 combined single limit each\noccurrence, including bodily injury and property damage liability.\n\noe Worker\u2019s Compensation: Workers Compensation as required by Georgia statute.\n\nBefore a contract is executed with the Successful Offeror, the Successful Offeror shall provide\nCertificates of Insurance for all required coverage. The Successful Offeror can provide the\nCertificate of Insurance after award of the contract but must be provided prior to execution of the\ncontract document by both parties. Certificates shall list an additional insured as follows:\n\nFayette County, Georgia\n140 Stonewall Avenue West\nFayetteville, GA 30214\n\nTermination for Cause: The County may terminate the contract for cause by sending written\nnotice to the Contractor of the Contractor\u2019s default in the performance of any term of this\nagreement. Termination shall be without prejudice to any of the County\u2019s rights or remedies by\nlaw.\n\nTermination for Convenience: The County may terminate the contract for its convenience at any\ntime with 10 days\u2019 written notice to the Contractor. In the event of termination for convenience,\nthe County will pay the Contractor for services performed. The County will compensate partially\ncompleted performance based upon a signed statement of completion submitted by the Contractor,\nwhich shall itemize each element of performance completed.\n\nForce Majeure: Neither party shall be deemed to be in breach of the contract to the extent that\nperformance of its obligations is delayed, restricted, or prevented by reason of any act of God,\nnatural disaster, act of government, or any other act or condition beyond the reasonable control of\nthe party in question.\n\nGoverning Law: This agreement shall be governed in accordance with the laws of the State of\nGeorgia. The parties agree to submit to the jurisdiction in Georgia, and further agree that any\ncause of action arising under this agreement shall be required to be brought in the appropriate\nvenue in Fayette County, Georgia.\n"
