All responses to this Invitation-to-Bid (ITB) are to adhere to the format\noutlined in this document as well as the enclosed General Conditions for Purchasing Solicitations.\n\nInstructions to Bidders\n\n1. Bid is to be mailed in a sealed envelope to the address above with ITB which bears the above bid\nnumber and opening date on the outside of the envelope.\n\n2. Bid must be typed or printed in ink. Bid must be signed by a responsible representative of your\ncompany. Bidder must indicate in the space provided on the bid
form the number of calendar days\nin which delivery will be made after proof approval.\n\n3. Preference will be given to Forest Stewardship Council (FSC) active members using FSC certified\nproducts.\n\n4. Bidder must quote all prices FOB Athens State University (as noted).\n5. Athens State University is exempt from Federal Excise and State Taxes. Code of Alabama 40-23-4.\n\n6. In bidding substitute items from brand names specified on the ITB, the bidder must so indicate the\nsubstitution and must include complete specifications with their responses.\n\n7. Athens State University reserves the right to reject any and/or all bids and, unless otherwise\nspecified by the bidder, to accept any or all items in the bid and may elect to award a bid on \u201call or\nnone\u201d basis. Acceptance and Rejection: Inspection and\ntesting, if any, and acceptance will be at the\ndestination unless otherwise provided, but all\nmaterials and workmanship shall be subject to\ninspection and test at all times and places, and\nwhere practicable. Title to risk or loss or\ndamage to all items shall be the responsibility\nof the supplier until acceptance by the\nUniversity unless loss or damage results from\nnegligence by the University. During\nmanufacture, the right is reserved to reject\narticles that contain defective material and\nworkmanship. Rejected material shall be\nremoved by and at the expense of the bidder\npromptly after notification of rejection. Brand Name Reference: Unless specified\n\u201cno substitute,\u201d any catalog brand name or\nmanufacturer\u2019s reference used in the ITB is\ndescriptive only, not restrictive, and used to\nindicate the type and quality desired. If\nbidding on other than referenced\nspecifications, the bid must show the\nmanufacturer, brand or trade name, and other\ndescriptions, and should include the\nmanufacturer\u2019s illustrations and complete\ndescription of the product offered. The\nUniversity reserves the right to determine\nwhether a substitute offered is equivalent to\nand meets the standards of the item specified,\nand the University may require the bidder to\nsupply additional descriptive material,\nsamples, or demonstrations. The bidder\nguaranties that the product offered will meet or\nexceed the referenced product and or\nspecifications identified in the ITB. Ifthe\nbidder takes no exception to the specifications,\nbidder will be required to furnish the product\nexactly as specified in the solicitation.\n\n8. Samples: Samples or demonstrations, when\nrequested, must be furnished free of expense\nto the University. Samples not destroyed\nduring reasonable examination will become\nthe property ofthe University unless bidder\nstates otherwise. Disputes: In case of any doubt or\ndifferences of opinion as to the items to be\nfurnished under a contract resulting from this\nbid, the decision ofthe VP for Financial\nAffairs shall be final and binding on both\nparties.\n\n11. Time of Performance: The number of\ncalendar days in which delivery will be made\nafter receipt of order shall be stated in the bid,\nif applicable.\n\n12. Acceptance of Bid/Award: The\nUniversity reserves the right to accept orreject\n\nall or any part ofa bid or any and all bids, to\nwaive any informality, general condition,\nspecial condition, or minor specification\ndeviation when considered to be in its best\ninterest, and to award the bid that best serves\nthe interest of the University. The University\nmay elect to award a bid on \u201call or none\u201d\nbasis. Athens State University reserves the\nright to purchase according to the availability\nof funds. The award will be made to lowest\nresponsive and responsible bidder meeting\nspecifications. Documents contained herein\nare considered part ofthe binding contract. It\nis understood and agreed that the University\nshall have 120 days for bid acceptance.\n\n13. Default: Backorders default in promised\ndelivery or failure to meet specifications,\nauthorize the University to cancel this contract\nto the defaulting bidder. The bidder must give\nwritten notice to the University ofthe reason\nand the expected delivery date.\n\n14. Addenda: An addendum may be issued as\nan addition or supplement or clarification to\nthe bid document. Only written addenda are\npart ofthe bid packet and should be\nconsidered.\n\n15. Alternate Bids: Unless specifically\nrequested, alternate bids will not be\nconsidered.\n\n16. Insurance and Indemnification: The\nbidder agrees to indemnify and hold harmless\nthe University, its officers, agents, and\nemployees from and against any and allclaims\nand liabilities (including expenses) for injury\nor death of persons or damage to any property\nwhich may result, in whole or in part, from\nany act or omission on the part of the bidder,\nits agents, employees, or representatives, or\narise from any bidder furnished goods or\nservices, except to the extent that such damage\nis due solely and directly to the negligence of\nthe University. The bidder will carry\ncomprehensive general liability insurance,\nincluding contractual and product liability\ncoverage, with minimum limits acceptable to\nthe University. The bidder will, at the request\nofthe University, supply certificates\nevidencing such coverage.\n\n17. Risk of Loss: The bidder assumes the\nfollowing risks: (1) all risks of loss or damage\nto all goods, work in process, material, and\nequipment until the delivery thereof as herein\nprovided; (2) all risks of loss or damage to\n"
