Lewis St. Stillwater, OK 74074 The City of Silluater http://www.stillwater.org/ INVITATION FOR BID #10-22/23 Hay & Pasture Lease at Stillwater Regional Airport Issued: Saturday, September 17, 2022 City of Stillwater, Oklahoma TECHNICAL SPECIFICATIONS GENERAL INFORMATION The City of Stillwater is requesting bids for an agricultural hay and pasture lease for tracts of land located in Payne County, State of Oklahoma. The written lease agreement term shall be January 1, 2023 through December 31, 2027. This written lease agreement may be extended for one (1) additional five-year period per agricultural lease terms and conditions as agreed upon by the lessor and lessee. This is an agricultural lease. NO HUNTING ALLOWED. Property tours will be available but not required. Tours will be conducted Monday, October 3, 2022 by appointment only between the hours of 10:00 am and 4:00 pm. To setup an appointment, please contact David Lyons at david.lyons@stillwater.org or 405-533-8427. A minimum bid amount has been set for this lease. The minimum bid amount per year is $35,000. Bids must meet the minimum to be considered. REQUIREMENTS Access to the operations area of the airport will be by specific approval of the airport staff only. The air operations area is under the control of the air traffic control, therefore all haying operation and removal of said hay will be in compliance with airport staff and air traffic control instructions. Swathing, hay baling, and removal of the bales of hay will be performed during the hours of 8:00 am to 8:00 pm. All bales of hay will be removed promptly behind the hay baler. Storage of hay will be allowed per agreement of the airport staff and only in the area where it will be fed. Access to the hay storage is not available through the operations area after haying is completed. All vehicles operating within the air operations area will be equipped with top-mounted yellow flags or flashing amber lights. All drivers of vehicles used for haying must be informed of airport operations prior to beginning haying operations. Arrangements must be made five (5) days in advance with airport staff for the briefing. To meet this requirements the successful bidder must attend and complete the Stillwater Regional Airport Federal Aviation Administration (FAA) mandated annual FAR 139 Driver Training course. The successful bidder will ensure no mud, debris, or foreign material is deposited on any ramp, runway or taxiway during any hay or pasture operations. Furthermore, tenant will be responsible for immediate removal of material if such an incident does occur. The successful bidder will be required to have a two way radio capable of communicating with air traffic control for the times when operating in the airport operations areas. All hay cutting should be completed by July 15th of each year. Tracts 1,3,6,11,12, and 13 are for haying and total 303.9 acres. Pasture lease will be for cattle only. Successful bidder will be solely responsible for the livestock that are placed within the lease parcels. The successful bidder will be readily available on a 24 hour basis by cell, phone, or pager so that airport staff can contact the lease holder in case of emergency. WEED/BRUSH CONTROL The successful bidder, airport staff, and Payne County Extension Educator will meet each March to determine weed and brush control needs of the leased property. Chemical brush and weed control will be required as needed per recommendations of the Payne County Extension Educator. The airport staff and successful bidder will determine a cost-share arrangement to meet the recommendations. Weed and brush control spraying will need to be completed during the window of April 10 May 10. CATTLE STOCKING RATE The recommended stocking rate per Oklahoma State University Extension is one (1) animal unit (1200 lbs) to every 8-10 acres. I TERMS 1.1. LESSEE, LAND, TERM, USE, RENTAL. Stillwater agrees to lease real property and Lessee agrees to lease the real property described below (Property) for hay and pasture purposes for the lease term (Term) as follows: Lease Contract Documents: Lessee shall be subject to all terms, conditions, and specifications set forth in Bid #10-22/23 Hay & Pasture Lease at Stillwater Regional Airport issued on September 17, 2022. The entire bid packet and Lessees Bid Form, all of which said documents are on file in the office of the City Clerk, City of Stillwater, Stillwater, Oklahoma, and are made a part of this lease contract as fully as if the same were herein set out at length and are hereby incorporated and made a part of this lease contract. Property: Hay and Pasture Lease located at the Stillwater Regional Airport consisting of 1215.10 acres (13 tracts) and as more particularly set forth in the attached map (Attachment A). Tracts are subject to use restrictions as set forth in the bid documents. Term: The term of this lease shall begin on January 1, 2023 and end on December 31, 2027. The parties shall have the option to extend this lease for one (1) additional five-year period (January 1, 2028 December 31, 2033) by written agreement of the parties prior to expiration of the initial term. Initial Rental Rate: Lessee shall pay Stillwater the sum of $____________________________ as annual rent for the leased Property during the initial Term of this lease contract. Subsequent Rental Rate; Rate Adjustment Limitation: The rental rate shall be increased based upon the percentage increase in the National Consumer Price Index ("CPI"), All Urban Cities, as published by the United States Department of Labor, Bureau of Labor Statistics, or successor agency or entity. The first rental rate review and possible adjustment shall apply to the year beginning January 1, 2024. The rental rate adjustment shall not be more than ten percent (10%) in any one year. 1.1. RENTAL DUE DATE Lease payments are due on a quarterly basis. Stillwater shall invoice Lessee accordingly. All lease payments are due to Stillwater within 25 days of the statement billing date. Delinquent rent shall be subject to a 10% per month finance change until paid in full. Page 2 of 10 1.2. LANDLORD AND AGISTERS LIENS. Stillwater shall hold the first lien, paramount to all others, on every right and interest of Lessee in this lease contract, on all improvements, equipment and fixtures to the Property. The lien is granted for the purpose of securing the payment of rentals, fees, charges, taxes, assessments, liens, penalties and damages herein covenanted to be paid by Lessee, and for the purpose of securing the performance, all and singular, of the covenants, conditions and obligations of this lease contract to be performed and observed by Lessee. This lien shall be in addition to all rights of a landlord given under the laws of the State of Oklahoma. Stillwater shall additionally hold an agisters lien on all cattle grazed on the Leased Premises during the Term and any subsequent terms of this lease contract. This lien is granted for the purpose of securing the payment of rentals, fees, charges, taxes, assessments, liens, penalties and damages herein covenanted to be paid by Lessee, and for the purpose of securing the performance, all and singular, of the covenants, conditions and obligations of this Agreement to be performed and observed by Lessee. This lien shall be in addition to all rights of Stillwater given under 4 O.S. 192 and all other applicable laws of the State of Oklahoma 1.3. DELIVERY, CHANGE OF ADDRESS Notices and communications shall be considered effective on date delivered or refused. In the event of change of address written notice is required to be given to the other party. All notices shall be in writing and considered properly given if mailed by certified mail, postage prepaid, addressed as follows and to the Lessee address on the signatory page. Stillwater Regional Airport, Administration Office, 3304 N. Airport Industrial Access Road, Stillwater, OK 74075 II RESERVATIONS 2.1. INTERPRETATION, VENUE This Lease shall be interpreted in accordance with laws of the State of Oklahoma without giving effect to any principles or conflicts of law. Lessee agrees any dispute or litigation with Stillwater in relation to this Lease shall be conducted in Payne County in the State District Courts of Oklahoma, provided however, the foregoing venue selection may be waived by Stillwater, in its sole discretion. Venue is waived by Lessee. 2.2. LEGAL SUBORDINATION. This Lease will be subordinate to and Lessee shall comply with all laws, court orders, policies, procedures and rules, existing and future, to the operation and management of Stillwater. 2.3. SALE OF LAND/COMMERCIAL DEVELOPMENT Stillwater reserves the right to sell, exchange, or commercially develop all or part of the Property. If all of the Property is sold, exchanged, or taken for commercial purposes, this Lease shall terminate and Lessee shall deliver possession of Property to Stillwater as notified. If part of the Property is sold, exchanged, or taken for commercial developed, Lessee shall deliver Page 3 of 10 possession of that portion of the property to Stillwater as notified. Stillwater agrees to reduce annual rental proportionately in relation to the original appraisal of the surface retained by Lessee for the remainder of the lease Term or, at the option of the Lessee, the Lease shall terminate. Adjustment in annual rental will be made only if amount exceeds twenty-five ($25.00) dollars. 2.4. EASEMENTS. Stillwater reserves to itself, its lessees, permittees, and assigns an access easement over and across the Property to access any other adjacent real property owned by Stillwater. Stillwater reserves the right to grant easements, for access and other purposes on or across the Property. 2.5. PERSONAL RECREATIONAL USE. Stillwater and Lessee agree that no personal recreational use is permitted on the Property. Use of the Property is limited in strict accordance with the contract documents. 2.6. HUNTING USE. NO HUNTING ALLOWED. 2.7. INVITATION TO BID. The "Notice of Invitation to Bid #10-22/23 Hay & Pasture Lease at Stillwater Regional Airport is incorporated by reference and is made a part of this Lease. 2.8. TERMINATION OF AGREEMENT FOR AIRPORT PURPOSES. Lessee agrees and understands that, by reason of the broad public interest in the efficient maintenance, operation and development of the Airport, Stillwater hereby expressly reserves the right to terminate this lease contract upon a determination by Stillwater that the leased property is needed for permanent Airport construction, or development, or improvements. Such construction, development or improvements shall be for airport and or aviation purposes only. 2.9. FORCE MAJEURE. In no event shall Stillwater be responsible or liable for any failure or delay in the performance of its obligations hereunder arising out of or caused by, directly or indirectly, forces beyond its control, including, without limitation, strikes, work stoppages, acts of war or terrorism, civil or military disturbances, nuclear or natural catastrophes, acts of God, or the declaration of a federal, state, or local emergency. In the event of a declared federal, state, or local emergency affecting Stillwater, Oklahoma, the City Manager shall have the unilateral right to suspend any or all services provided for under this Contract or to terminate this Contract without any liability whatsoever. In the event of termination, this Contract shall not be revived by the expiration of the declared emergency. In the event of suspension of any or all services during a time of declared emergency and upon expiration of said declared emergency, the parties may mutually agree in writing to resume services. Page 4 of 10 III CONDITIONS 3.1. PERMANENT CONTRACT OBLIGATIONS. Lessee cannot be released from Lessee's obligations hereunder except as otherwise provided by this Lease or according to law. Debt cannot be reduced or canceled without full payment pursuant to the Oklahoma Constitution and applicable law. 3.2. PAYMENT, BOND, NON-PAYMENT. All unpaid rent or delinquent rent or monies due, shall be subject to a ten percent (10%) finance change (monthly) from the due date and payments made are credited first to accrued finance charges and then to any remaining balance. If outstanding balances are not paid within 90 days of the due date, adequate bond or other security acceptable to Stillwater is required. Stillwater may seek all available legal or equitable remedies and Lessee may be assessed costs and legal fees involved in collection or enforcement of this Lease. 3.3. TAXES. Lessee is required to pay ad valorem property taxes on any improvements, structures or personal property moved or constructed on the Property during the lease term in a timely fashion. 3.4. INTERFERENCE BY LESSEE. Lessee shall not interfere with grantees, licensees, permittees, or other lessees of Stillwater. Stillwater reserves the right to access leases and to accompany potential lessees. 3.5. DISCLOSURE OF INTEREST. Lessee shall notify Stillwater in writing within five (5) days when any public official or employee or any official or employee of Stillwater has acquired any direct or indirect interest in the Property. 3.6. HOLD HARMLESS; INDEMNITY. Pursuant to the Oklahoma Governmental Tort Claims Act, 51 O.S. 151 et seq., and without waiving any rights, Lessee agrees to indemnify Stillwater against all claims arising out of the use of the Property, or otherwise arising hereunder. Lessee shall promptly notify Stillwater of any such claim. 3.7. SUBLEASES AND ASSIGNMENTS. Subleasing is prohibited. This lease shall not be assigned without prior written approval of Stillwater. 3.8. LEASE INSPECTION. Stillwater may enter upon Property at any time for inspection and the exercise of all rights reserved to Stillwater. If any locks are placed on any gates on the Property, keys must be promptly furnished to Stillwater. Stillwater reserves the right to remove and/or replace the locks at the Lessee's expense. Page 5 of 10 3.9. LEASEHOLD IMPROVEMENTS. Lessee understands and agrees that Stillwater will not be obligated to Lessee for the value of any personal property or leasehold improvements placed upon the Property during the Lease Term. Improvements of any nature shall not be placed on or removed from the Property without the prior written consent of Stillwater. Lessee agrees to maintain with Stillwater a current and complete list of all Lessee-owned improvements located upon the Property, including, but not limited to, an estimate of each improvement's respective value. 3.10. REMOVAL OF IMPROVEMENTS. Lessee agrees to remove their improvements at Lessee's expense within sixty (60) days after the date the Lease expires or is terminated due to a breach of the contract. Additional time for removal of improvements must be requested in writing by Lessee prior to the sixty (60) day time period for removal. Failure of the Lessee to request additional time prior to the expiration of the sixty (60) day time period shall be deemed a waiver by Lessee of any right to seek additional time to remove improvements. Stillwater may, in its sole discretion, grant additional time to remove improvements; any grant of additional time must be in writing from Stillwater. Failure to remove the improvements within sixty (60) days, or any such additional time granted in accordance with this Lease, demonstrates Lessees intent to abandon the improvements and the improvements will be deemed abandoned. Improvements of value will be sold and the amount attained from the sale after cost of sale will be deducted from any amount owed by Lessee. Improvements deemed abandoned that are determined to be a detriment to the Property will be disposed of by Stillwater and Lessee agrees to pay for any cost incurred for disposal and restoration within thirty (30) days of the date of removal. This provision shall not apply to any improvements that may be required pursuant to Fence Maintenance and Upkeep as identified in the Technical Specifications of Bid #10-22/23. 3.11. MAINTAIN IMPROVEMENTS. Lessee agrees to maintain and repair Stillwater's and Lessee's improvements located on the Property at Lessee's sole expense. In the event Lessee fails to do so, Stillwater may elect in its sole discretion to enter upon the Property and affect any maintenance or and/or repairs and charge Lessee for the costs incurred, with interest, as additional rent hereunder. 3.12. PASTURE, CATTLE STOCKING RATE. Pasture operations shall be in strict compliance with the bid packet #10-22/23. Pasture lease is for cattle only. No other livestock is permitted. The estimated annual stocking rate for the Property is shown in the bidding documents for Bid #10-22/23. Stillwater reserves the right to change or reduce the cattle stocking rate at any time if drought or other weather conditions impact the quality and/or quantity of available forage. Overstocking or failure to remove livestock as directed by Stillwater is a material breach of this Lease and, in Stillwater's sole discretion, may result in the termination of same. 3.13. HAY. Property tracts identified in the contract documents for haying may not be used for or converted to pasture land. All haying operations shall be in strict compliance with the bid packet #10-22/23 Technical Specifications. 3.14. FENCE MAINTENANCE AND UPKEEP. Page 6 of 10 General Maintenance Lessee is solely responsible for routine repairs or maintenance to existing fence, including the cost of any required materials and labor necessary to ensure that cattle are kept enclosed in designated areas at all times. All fencing materials used are subject to the prior approval of Stillwater. All improvements made to fence shall become the property of Stillwater and shall not be removed by Lessee. Annual Review & Lease Contract Addendum On an annual basis the parties shall meet and confer on or before January 31 of the then current term to determine the next fiscal years fence maintenance and upkeep plan. The annual plan shall address in detail the designated areas that are to be repaired or replaced during the applicable fiscal year. Subject to funding availability, Stillwater shall provide all fencing materials required to execute the annual plan. Lessee shall provide all labor necessary and shall not be entitled to any compensation for labor related to the annual plan. All fencing improvements made to fence shall become the property of Stillwater and Lessee shall not remove any such improvements at any time including in the event of termination of this lease contract. The annual plan shall be memorialized by addendum to this lease contract and signed by the parties. Should the parties fail to agree on an annual fence maintenance and upkeep plan the parties may terminate this lease by giving sixty (60) day notice to the other party. 3.15. WEED/BRUSH CONTROL. General Weed/brush control performed by Lessee requires the prior approval of Stillwater. Lessee is solely responsible for the cost of any chemicals and labor required to conduct weed/brush control not addressed by an annual plan. To the extent that chemicals used require a licensed applicator then Lessee shall strictly comply with that requirement. Annual Review & Lease Contract Addendum On an annual basis the parties shall meet and confer on or before January 31 of the then current term to determine the next fiscal years weed and brush control plan. The annual plan shall at a minimum set forth the following details for the specified fiscal year: areas to be sprayed, specific time frames for spraying, and chemicals to be used. Subject to funding availability, Stillwater shall provide all chemicals required to execute the annual plan. Lessee shall provide all labor necessary and shall not be entitled to any compensation for labor related to the annual plan. Should the annual plan designate a chemical to be used that requires an Applicators license then Lessee shall obtain an applicators license or use a licensed applicator to conduct the spraying in strict compliance with the requirement. The annual plan shall be memorialized by addendum to this lease contract and signed by the parties. Should the parties fail to agree on an annual weed/brush control plan Page 7 of 10 the parties may terminate this lease by giving sixty (60) day notice to the other party. 3.16. INJURY TO LAND. Lessee shall not, without the prior written permission from Stillwater, conduct or allow to occur any of the following activities upon the Property: irrigate; cut trees or timber; remove soil, water, stone or minerals; permit waste, trespass, dispose of trash, litter, cause erosion or pollute. Any damages to the Property arising from same shall be the Lessees responsibility. Lessee shall promptly report damage to the Property or any minerals thereon, to Stillwater. V REMEDIES 5.1. MITIGATION, RELET. Stillwater may relet the Property to mitigate Lessee(s) damages (including rent) without prejudice to or waiver of its rights to hold Lessee liable for all costs, damages, restitution costs, entire contract rentals, and legal fees less amounts realized from mitigation. 5.2. BIND, BENEFIT, COMPLETE AGREEMENT, CHANGES. All terms and conditions of this Lease shall be binding on Stillwater and Lessee, their heirs, devisees, administrators, executors, successors and assigns. This Lease and the associated contract documents as set forth in 1.1. shall together contain the complete agreement between the parties; any changes to the Lease must be agreed to and approved in writing by all parties hereto. 5.3. SEVERABILITY, SAVINGS. If any provision of this Lease is determined to be invalid or unenforceable to any extent, the remainder of the provisions will not be affected and will be valid and enforceable to carry out, to the fullest extent possible, the original intent of the parties as permitted by law or in equity. 5.4. BREACH OF CONTRACT. Violation by Lessee of any provision of this Lease constitutes a material breach. In the event of a breach, the property is deemed the possession of Stillwater. Lessee shall be held liable for all costs to repair all damages to the Property during the Lease Term. Stillwater may waive any default by Lessee, however a waiver shall not be a continuing waiver. No waiver shall be implied from any delay or failure by Stillwater to take action following a default by Lessee. VI NON-COLLUSION Lessee states, represents and warrants that, as a material condition precedent of the Lease, (s)he has not paid, given or donated or agreed to pay, give or donate to any officer or employee of the City of Stillwater any money or other thing of value, either directly or indirectly, in obtaining this Lease. Furthermore, (s)he did not conspire or collude with, give or receive anything of value to, or agree to give or receive anything of value to any bidder or potential bidder relative in obtaining this Lease. In the event that it is discovered that any of the foregoing is untrue, this Lease shall be void and of no further force and effect.
