Terrence Wright, Director DCPS Purchasing Services Cc: Master Bid folder eile re http://www.duvalschools.org/ AGREEMENT BETWEEN THE SCHOOL BOARD OF DUVAL COUNTY, FLORIDA, AND CROWN CASTLE FIBER LLC This Agreement is made and entered into April 8, 2021 (the Agreement), and is by and between The School Board of Duval County, Florida (the "District"), and Crown Castle Fiber LLC, a New York limited ability company authorized to transact business in Florida (the Contractor or Crown Castle). WITNESSETH: Whereas, the District issued RFP 16-21/LM Leased Lit or Leased Dark Fiber Wide Area Network (WAN) and provided e-Rate requirements (with attachments) dated on or about January 22, 2021, together with Addendum No. One dated on or about February 9, 2021 (collectively, the RFP), a copy of which RFP is attached hereto and incorporated herein by this reference as Exhibit A: Whereas, after free and open competition, Contractor submitted a proposal (attached hereto and incorporated herein by this reference as Exhibit B), and was selected as the best responsive and responsible Contractor by the District (the Proposal) for the services described therein (the Services or Products); Whereas, the Contractor is interested in and capable of performing the Services for the District and the District desires to have the Contractor perform the Services; and NOW, THEREFORE, in consideration of the mutual covenants and conditions contained herein, the parties agree as follows: ARTICLE | SCOPE OF SERVICES 1.1 The recitals set forth above are true and correct and are incorporated into this Agreement by this reference. Unless otherwise assigned a different meaning in this Agreement, defined terms in this Agreement shall have the same meaning as the defined terms in the RFP. 1.2 The parties agree that the purpose of this Agreement is that the Contractor shall fully, timely, and continuously provide the District the Services in a manner in accordance with the Districts objectives set forth in the RFP and this Agreement. The contract documents consist of this Agreement (inclusive of Contractor's negotiated forms in Exhibit C, Exhibit D and Exhibit E attached hereto and incorporated herein by this reference), the RFP, and the Proposal. In the event of any conflict or ambiguity among these documents, the priority set forth in Section 13.7.16 of the RFP is assigned; with the exception that in the event of any conflict among Exhibit C, Exhibit D, and Exhibit E attached hereto and the documents set forth in Section 13.7.16 of the RFP, then Exhibit C, Exhibit D, and Exhibit E shall have priority only over Contractor's Proposal, with it being understood that Exhibit C, Exhibit D, and Exhibit E shall be subordinate to this Agreement, Addendum No. One, and the RFP. All of Contractor's exceptions to the RFP set forth in its Proposal, if any, are stricken in their entirety and void except as may be specifically addressed in this Agreement. ARTICLE Il COMMENCEMENT AND TERM 2.1 See Section 2.3 of the RFP, which provides that the initial Agreement term commences July 1, 2021 and ending September 30, 2031 (the Agreement Term"). The Services shall commence according to the schedule set forth in Exhibit E. ARTICLE VI MISCELLANEOUS 6.1 The Article and Section headings are for reference and convenience only and shall not enter into the interpretation hereof. 6.2 This Agreement may be executed via facsimile and in one or more counterparts, each of which will be deemed an original, but all such facsimiles and counterparts will together constitute but one and the same instrument. This Master Telecommunication License and any and all Supplements (as defined herein) and exhibits hereto are collectively referred to as the nse. Crown Castle and the District are collectively referred to as the Parties or individually as a Party. 1, PRODUCTS, ORDER FORMS, AND SUPPLEMENTS. 1.1 Products and Order Forms. This License applies to each telecommunications facility, or product. provided or licensed by Crown Castle to District (each a Product). Each Product will be specified in an order form executed by the Parties (each an Order Form). 1.2 Supplements. From time to time, the Parties may execute one or more supplements to this License that may contain tec! specifications, service level objectives, and other terms and conditions applicable to specific types of Products (each a Supplement). Upon execution by the Parties, each such Supplement shall be incorporated into this License. 1.3 Crown Castle Affiliates. At Crown Castle's option, Products may be provided or licensed by Crown Castle, or by an Affiliate of Crown Castle. Any charges or other amounts received by the Crown Castle under this License, to the extent attributable to Products provided or licensed by an Affiliate of Crown Castle, shall be received by the Crown Castle in its capacity as an agent on behalf of such Affiliate. Internet access will be provided by Crown Castles affiliate. Crown Castle Fiber Enterprise LLC. In addition, Order Forms may be executed by an Affiliate of Crown Castle, and in such event, any and all references to Crown Castle herein shall be deemed to be a reference to the applicable Affiliate of Crown Castle that executed such Order Form. The term Affiliate as used hereunder shall mean. with respect to either Party, any entity controlled by. in control of, or under common control with such Party. Notwithstanding anything to the contrary herein, section 21.0 of the Districts RFP concerning assignments shall control. 2. TERM. 21 License Term. The term of this License shall be concurrent with the Agreement Term between Crown Castle and the District. 2.2 Product Term. The term (each a Product Term) for each Product begins on the Acceptance Date (as defined below) applicable to such Product, and remains in effect until the expiration of the Agreement Term unless earlier terminated as provided herei: 2.3 Acceptance Date. The Acceptance Date for each Product shall be the earliest of (a) the date on which District delivers written notice of acceptance, (b) the date on which District begins to use the Product, other than for testing purposes, or (c) the second (2) business day following Crown Castles delivery of notice of the installation of the Product (such notice, aConnection Notice), unless District notifies Crown Castle in writing within said two-day period of a Defect in the Product, specifying in detail the nature of such Defect. A Defect exists if the Product fails to perform materially in accordance with its technical specifications as set forth in the applicable Supplement (Specifications), Upon receipt of notice of a Defect, Crown Castle and District shall work cooperatively to promptly remedy such Defect, and Crown Castle shall deliver another Connection Notice, whereupon the process described in the first sentence of this Section shall apply again. If the Acceptance Date is delayed as a result of any failure, act or omission of District, Crown Castle will give District written notice to cure such failure within ten (10) District business days (as defined by the District Boards annually adopted calendar). If District fails to cure within such period, the Acceptance Date will be deemed to be the end of such ten (10) District business day period. PAYMENT TERMS. 3.1 Charges. Crown Castle will invoice District for any non-recurring charge (NRC) associated with the Product after the Acceptance Date for such Product. The monthly-recurring charge (MRC) associated with the Product shall begin to accrue on the Acceptance Date of such Product. Crown Castle will invoice District the MRC associated with the Product in advance, except Crown Castle will invoice District usage based charges (if any) associated with the Product in arrears. An MRC for a partial month will be pro-rated. District shall be responsible for payment of the MRC for the entire Product Term specified in the applicable Order Form. 3.2. Payments; Late Payments. Governed by section 13.7.17 of the RFP. 3.3 Disputed Payments. Governed by section 13.7.17 of the RFP. TAXES AND FEES. 4.1 Taxes and Fees. All charges set forth in an Order Form(s) are exclusive of, and District shall be responsible for and agrees to pay, any and all applicable international, federal, state and local use, excise, sales, value added, consumption, gross receipts, access, franchise and other taxes. fees, assessments, duties and surcharges (including, without limitation, any universal service fund surcharge) in connection with the provision, sale or use of the Product or facility furnished to District (collectively referred to as Taxes) for which the District is not exempt from payment. District shall not be responsible for, and Taxes will not include taxes on Crown Castles net income.
