EVERY DAY.\n" "AGREEMENT BETWEEN THE SCHOOL BOARD OF DUVAL COUNTY, FLORIDA,\nAND CARR, RIGGS & INGRAM, LLC\n\nThis Agreement is made and entered into effective July 1, 2022 (the \"Effective Date\u201d), and is by and\nbetween The School Board of Duval County, Florida (the \"District\"), and Carr, Riggs & Ingram, LLC, a Florida\nlimited liability company (the \"Contractor\").\n\nWITNESSETH:\n\nWhereas, the District issued RFP No. 07-22/TW dated on or about January 5, 2002 relating to the\nDistrict\u2019s solicitation of construction auditing services (the \u201cServices\u201d), together with Addendum No. 1 dated\nJanuary 24, 2022, (ITN No. 07-22/TW) [sic] (collectively, the \u201cRFP\u201d), a copy of which RFP is incorporated herein\nby this reference as Exhibit A:\n\nWhereas, after free and open competition, Contractor submitted a proposal incorporated herein by this\nreference as Exhibit B, and was selected as the best responsive and responsible Contractor by the District (the\n\"Proposal\u201d);\n\nWhereas, the Contractor is interested in and capable of performing the desired Services forthe District\nand the District desires to have the Contractor perform the Services; and\n\nWhereas, the parties have reached an agreement on the Services to be performed and the payment\nforthe same, and therefore wish to set forth this understanding in writing in this Agreement.\n\nNOW, THEREFORE, in consideration ofthe mutual covenants and conditions contained herein, the\nparties agree as follows:\n\nARTICLE I\nSCOPE OF SERVICES\n\n1.1 The recitals set forth above are true and correct and are incorporated into this Agreement by\nthis reference.\n\n1.2 The parties agree that the purpose of this Agreement is that the Contractor shall fully and timely\nprovide the District the Services in a manner in accordance with the District's objectives set forth in the RFP\nand this Agreement. The contract documents consist of this Agreement, the RFP (including the Addendum),\nand the Proposal. In the event of any conflict or ambiguity among these documents, the priority set forth in\nsection 13.7.16 ofthe RFP shall apply.\n\nARTICLE Il\nCOMMENCEMENT AND RENEWAL\n\n2.1 See section 2.5 ofthe RFP with the initial term commencing July 1, 2022.\n\n2.2 _ Exceptforthose actions preceding the date of this Agreement, the Services shall commence\naccording to the schedule set forth in the RFP, unless the District notifies the Contractor otherwise in writing.\n\n2.3 The audits shall be completed no later than ninety (90) calendar days after receipt of an\nactivationforthe audit services. Should the Contractor encounter any delay that could jeopardize the completion\ndate, it shall communicate with the District's Executive Director of Facilities concerning the delay and anticipated\ncompletion date.\n\nARTICLE Ill\nCOMPENSATION\n\n3.1 The compensation is not to exceed the amount set forth in the Proposal.\n\n" "3.2 The maximum obligated amount under this Agreement shall be as set forth in the contract\ndocuments; in no event shall the District be responsible to the Contractor forcompensation in excess of the\nmaximum obligated amounts stated in this Agreement except as increased by formal approved and executed\nsupplemental agreement(s).\n\nARTICLE IV\nTERMINATION\n\n4.1 This Agreement may beterminated as set forth in the RFP.\n\nARTICLE V\nCOMMUNICATIONS; RECORDS; NOTICES\n\n5.1 The Contractor shall provide records and information and fully cooperate (notwithstanding any\nContractor claims of trade secrets, proprietary or confidential information) with the District as to all matters\npertaining to any and all legal, audit, administration, and compliance requirements relating to the Services and\nthe contract documents.\n\n5.2 As required by Section 13.7.14 ofthe RFP, the District's address for notices is set forththerein, and\nthe Contractor's address for every notice, approval, consent or other communication authorized or required by the\nContract shall be as set forth below:\n\nThe _Contractor:\n\nCarr, Riggs & Ingram, LLC\n1031 West Morse Blvd. Suite 200\nWinter Park, Florida 32789\n\nAnd as required by Section 13.7.14 of the RFP, notwithstanding the foregoing, the parties agree that all\ncommunications relating to the day-to-day activities shall be exchanged between the respective representatives of the\nDistrict and the Contractor promptly upon commencement of the Services.\n\nARTICLE VI\nPERSONNEL\n\n6.1 The Contractor represents and warrants that its performance of the Services shall be rendered\nwith promptness and diligence and shall be executed in a workman-like manner, in accordance with the\npractices and high professional standards used in a well-managed operation performing services similar to the\nServices. The Contractor represents and warrants it will use an adequate number of qualified individuals with\nsuitable training, education, experience, and skill necessary to perform the Services and the Contractor\nrepresents and warrants it will perform the Services in an efficient and cost-effective manner.\n\n6.2 The Contractor agrees and represents that all of the Services required hereunder shall be\nperformed by the Contractor as identified in the Proposal. Contractor's management and personnel shall be\nconsistent with the Contractor's proposal as provided during the Request for Proposal and selection process\nand shall not be removed orreplaced without the Owner\u2019s written consent.\n\n6.3 All the personnel assigned by the Contractor and any subcontractor shall be authorized under\nstate and local laws to perform such Services, whether by appropriate license, registration, certification or other\nauthorization.\n\n6.4 The Contractor agrees that it will remove (within a mutually agreed upon period of time) from\nassignment under this Agreement any individual in its employ, if, after the matter has been reviewed jointly by\nthe District and the Contractor, the District requests such action in writing. Any such removal shall not\nnecessarily reflect on the capabilities or competence of the individual so removed.
