AWARDING THE CONTRACT - No bid shall be withdrawn for a period of sixty days after the closing time. Bid shall be effective from August 1, 2020 through July 31, 2020. After bids have been tabulated and studied, agents and/or company representatives may be interviewed by the superintendent or designated person concerning the bid. The board will review these bids formally at the regular board meeting on June 15, 2020 at 6:00 PM and make final bid award determination. The board reserves the right to reject any and/or all bids and to waive any deviations from the specifications that it considers of little consequence. GENERAL CONDITIONS- 1. The successful bidder will be required to furnish at bid price such quantities as from time to time may be ordered by the Board of Education or by the schools of the Henderson County School District. 2. Bidders shall submit their bids on the bid forms provided. Bidder should keep one copy of bid and submit one to the Board Office. Mail to 1805 Second St., Henderson, Kentucky 42420. 3. The board reserves the right to make an award, if any, to individual vendors for groups of items or for all items. This decision will be based upon evaluations of the bids received using the objective criteria stated herein. 4. Bidders may list all other information they consider pertinent. Reference to brand names is for identification purposes only and in no way is to be construed as an attempt for comparative purposes. 5. All bids are subject to the terms and conditions of the bid invitation. 6. If any emergency arises and the successful bidder is unable to furnish any items required from his stock, the Henderson County Board of Education reserves the right to purchase the necessary items from another source of supply. 7. Monthly statements listing amounts payable by the Board or respective schools are due immediately after close of each month. 8. Both parties may extend this contract under the same terms, conditions, and prices if agreeable for an additional one-year term, not to exceed 3 one year extensions of the original contract, with approval of the Henderson County Board of Education. 9. If a bid is not made, the bid form must be returned and marked “No Bid” with reasons stated why a bid is not submitted, otherwise firm name will be removed from the bidder’s mailing list. 10. The award shall be made, if at all, on the basis of the lowest evaluated bid price. Quality of Product. 10 b. Service - (1) Business reputation of the vendor compared to similar vendors in the general area; (2) general cooperation by the vendor with the respective school personnel. 10 c. Availability of company representative for services needed. 10 d. Cost considered in conjunction with the above stated criteria. 10 e. Capability of meeting established deadlines. 10 11. CONFLICTS OF INTEREST, GRATUITIES AND KICKBACKS AS DEFINED IN KRS 45A.445 AND AS PROVIDED FOR IN KRS45A.455 ARE ABSOLUTELY PROHIBITED. THE PROVISIONS OF THESE STATUTES SHALL BE NOTED AND ACKNOWLEDGED BY THE USERS OF THIS PROCUREMENT DOCUMENT. 12. Multiple contracts may be awarded by the board if following evaluation of all bids received a decision is reached that awarding contracts or accepting bids on a multiple basis is in the best interest of the Henderson County School District. The Board reserves the right to accept pricing from other legal contractual bids (i.e. State Price Contract) that may be in the Board’s best interest. Pricing in this bid must be an improved price beyond what is available through other bids available to the Henderson County board of Education. 13. All material or services furnished must be in conformity with the specifications and will be subject to inspection and approval of the school making the order and/or the Finance Officer after delivery. The right is reserved to reject and return, at the risk and expense of the supplier, such portion of a shipment that may be defective or fail to comply with specifications, without invalidating the remainder of the order. If rejected, it will be held for disposition at the expense and risk of the supplier. 14. The Henderson County Board of Education and its schools are exempt from Federal Excise Taxes and Kentucky Sales and Use Taxes. 15. The Henderson County School District, all authorized agencies of the Commonwealth of Kentucky, the United Stated Department of Agriculture, the Comptroller of the United States, and/or any of their respective authorized representatives shall have access to all books, documents, papers and records of any successful bidder awarded a procurement contract pursuant to this Invitation to Bid which are directly relevant or pertinent to such contract for the purpose of making audits, examinations, excerpts and transcriptions; and, any such successful vendor shall maintain all of its records relevant to such procurement contract for a period of three years after the Henderson County School District makes final payment to the vendor and all pending matters are closed. 16. All procurement contracts exceeding Twenty Thousand Dollars ($20,000.00) in amount awarded to a successful vendor pursuant to this Invitation to Bid and any of their contractors or subcontractors are subject to Executive Order 11246, entitled “Equal Employment Opportunity”, as amended by Executive Order 11375, and as supplemented in Department of Labor regulations (41 CFP Part 60). 17. All material or services furnished must be in conformity with the specifications and will be subject to inspection and approval of the department/school making the order and/or the Finance Officer after delivery. The right is reserved to reject and return, at the risk and expense of the supplier, such portion of a shipment that may be defective or fail to comply with specifications, without invalidating the remainder of the order. If rejected, it will be held for disposition at the expense and risk of the supplier. 18. Erasures or the use of a typewriter correction fluid on bid forms are not acceptable and may result in the rejection of the bid. Prior to submission or opening, errors may be crossed and corrections entered, and initialed by the person signing the bid. No bids shall be altered or amended after the specified time of opening. 19. Henderson County Schools reserves the right to add related items to the contract established from this Invitation to Bid. All procurement contracts awarded by Henderson County Board of Education pursuant to this Invitation to Bid may be by Henderson County Board of Education terminated at any time upon thirty-day notice; upon mutual agreement of both parties; or at the discretion of the Henderson County Board of Education without notice, if the terms of a contract are violated in any way. 21. Bidder Reliability. A successful bidder must have a proven (or believable) record of service, particularly with respect to delivering all items on a regularly scheduled basis, at favorable prices. A vendor may be designated as unacceptable if the requirements listed herein have been previously violated and/or poor communications exist between the vendor and the Henderson County Board of Education. 22. This Invitation to Bid, and all procurement contracts issued pursuant to this Invitation to Bid shall be governed in all respects, validity, construction, capacity, performance, breach and remedy, by the laws of the Commonwealth of Kentucky. 23. All vendors awarded procurement contract pursuant to this Invitation to Bid certify to the Henderson County Board of Education that they are conforming to the provisions of the Civil Rights Act of 1964, as amended, and further that they shall comply with all applicable federal, state and local laws and regulations pertaining to wages, hours and conditions of employment. In connection with the vendor’s work pursuant to any procurement contract issued pursuant to this Invitation to Bid, the vendor agrees not to discriminate against any employee(s) or applicant(s) for employment because of age, race, religious creed, sex, national origin, or handicap. 24. By the submission of a bid to the Henderson County Board of Education pursuant to this Invitation to Bid, the vendor certifies that his bid is made without prior understanding, agreement, or connection with any corporation, firm or person submitting a bid for the same materials, supplies or equipment and is in all respects fair and without collusion or fraud. The bidder certifies that he understands collusive bidding is a violation of federal law and can result in fines, prison sentences and civil damage awards. He further agrees to abide by all conditions of this bid and certifies that he is authorized to sign this bid for the bidder. 25. The successful bidder agrees to have each employee who will work on school premises in the District submit to a national and state criminal history background check and have each employee obtain a letter from the Cabinet for Health and Family Services stating the employee has no findings of substantiated child abuse or neglect pursuant to the requirements of KRS 160.380(7). The successful bidder agrees to obtain this information at no additional cost to the District and shall supply this information to the District prior to each employee working on school premises in the District. 26. Every business entity conducting business for a profit in Henderson County, Kentucky but not within the city limits of Henderson, is required to have an Occupational License. This can be obtained at 20 N Main Street, Henderson, KY 42420 or https://hendersonky.us/206/Forms. Please attach a copy when submitting your bid invitation. D. SPECIFICATIONS: 1. All tires and tubes must meet the “Kentucky Minimum Specifications for School Buses, as required by KRS 156.153 and include the manufacturer’s standard warranty. 2. The successful bidder guarantees to make standard adjustments of defective products within the bid price. Any adjustments shall extend for six months from the date of final delivery or expiration of the contract. 3. Tires and tubes shall be delivered to Henderson County Board of Education Transportation Garage. Bid price shall include transportation and delivery F. O. B. on loading dock. From time to time, Board personnel may pick up items at the vendor’s supply house. 4. Tires supplied on all Kentucky school bus chassis shall be first-line, steel belted, low profile and tubeless with DOT approved type tread and furnished as original equipment as shown in the chassis supplier’s most recent data book and specifications literature on file with the Division of Pupil Transportation – KDE. 5. Items must be bid as specified. Only pre-approved equivalents will be accepted. Items bid that do not meet specifications or were not pre-approved will be rejected. The bidder agrees to comply with all applicable standards, orders or regulations issued pursuant to the Clean Air Act, as amended, 42 U.S.C. section 7401 et seq. The bidder agrees to report each violation to the USDA and the appropriate EPA Regional Office. 7. The bidder agrees to comply with all applicable standards, orders or regulations issued pursuant to the Federal Water Pollution Control Act as amended 33 U.S.C. section 1251 et seq. The bidder agrees to report each violation to the USDA and the appropriate EPA Regional Office. 8. Procurement of Recovered Materials Pursuant to 2 CFR section 200.322: Bidder agrees to comply with section 6002 of the Solid Waste Disposal Act, as amended by the Resource Conservation and Recovery Act. 9. Recapping Tires & Special Conditions  Rubber must be premium quality equal to the Bandag cold process retread or prior approved equal. Hot process retreads are not acceptable.  All carcasses shall be provided by the Henderson County School District and shall be picked up and delivered by the vendor to the Henderson County Schools Transportation Department at 5675 Airline Road, Henderson, KY.  Only carcasses provided by the Henderson County Board of Education shall be used.  It shall be the vendor’s responsibility to inspect the carcasses and verify that they are recappable. All non- recappable carcasses shall be returned to the Henderson County Schools Transportation Department on 5675 Airline Road.  The Henderson County board of Education reserves the right to cancel this contract at any time.  The bid price shall be firm for the full contract period. 10. Tread Splices:  Retread tires shall not have more than two (2) splices on top cap. No more than one (1) splice per quadrant shall be permitted.  Minimum Tread Dimensions: Tire Size Tread Depth Under Tread Rubber Thickness 295/75R 22.5 18/32” Under tread rubber thickness shall be 20% 275/80R 22.5 18/32” maximum to 25 % maximum of tread depth. Casing shall be prepared to receive under tread Rubber thickness of 3/32” to 5/32” maximum. Flex Fuel 17/32” 11. Casing Acceptance:  The qualifying retreader shall be the party in all cases making determination with regard to casing acceptance or rejection. Previously retreaded tires having retread installed improperly with regard to dimensional requirements of the original tire manufacturer and/or having casings rounded to receive a retread of a different dimensional width shall be rejected. Rejected casings shall be returned to Henderson County Board of Education. 12. Casing Preparation:  Buffing – The casing shall be buffed to dimensions compatible to the retread system used. The worn tread surface shall be removed to a symmetrical profile in accordance with the procedure and new tire manufacturers specifications. The buffed area of the casing shall be free of contamination and oxidation. All buffing shall be done with the casing inflated. Casing preparation shall be performed to require original tire manufacturer tread width installation only when applying a retread dimensionally. 13. Casing Repair (Radial only):  All casings shall be repaired in accordance with American Retreaders Association tire repair standard. (Exceptions to repair size listed below). Repair Type  Nail Hole (puncture): Cannot exceed 3/8” diameter, Repair may be bead to bead.  Spot Repair: Spot repair is limited to cuts or cracks in rubber with no damag3d body plies.  Section Repair: Section repair is limited to virgin casings only. Section shall be performed to American Retreaders Association specifications with the exception of limiting repair size to 1 to 2” in crown area and maximum of two cables in the sidewall area a maximum of 3:” length. All section repairs shall require prior approval of the respective Board of Education.  Bead Repair: The following conditions will be considered repairable in the rubber covering the bead area: 1. Cuts or tears in the rubber covering the bead area that do not damage the body plies or expose bead wires 2. Limited in size to that which will assure duplication of original bead contours 3. Repairs which can be performed at a low enough cost to be practical  Sealant Materials: Sealant materials for tire repairs shall be provided by Technical Rubber Company, Johnstown, OH; Remaco, Northvale, New Jersey; or approved equal.  Repair Identification (Sections): Retreader shall affix a permanent identification label in the area of the section repair and subsequent section repairs. 15. Casing Identification:  The Henderson County Board of Education shall identify casings by brand name, size and serial number prior to pickup by retreaders. Retreaders shall be provided with a copy of the form. Retreaders shall designate on form acceptance or rejection. Casings being returned shall be designated on the form at time of return by date and signature of returning agent. 16. DOT Number:  DOT numbers shall affix to all tires per federal standards. On procured retreads, DOT numbers shall be affixed in close proximity to existing DOT numbers reading from the left to the right. On mold cure retreads, pre- existing DOT numbers may be removed during the succeeding process. 17. Warranty:  Retreaders shall warrant workmanship and materials 100% for the first 10% of tread wear. Workmanship and materials shall be prorated from the first 10% of tread wear to 2/32” remaining tread depth. Casing failures shall be warranted 100% through the first 25% of tread wear and 50% for the next 25% of tread wear. Warranty cost is applicable only as it relates to retreading and/or casing repair cost and not to casing replacement. 18. Longevity:  Retreaders supplying retread tires to Henderson County Board of Education shall supply retreads designated to provide tread life no less than 90%on a per 1/32” basis as compared to original equipment tires for receptive duty cycles. 19. Sureties:  A qualifying retreader shall furnish to the Henderson County Board of Education a non-revocable assurance of having product liability insurance in the minimum amount of $1,000,000.00. 20. Certification:  The qualifying retreader shall have been certified by a retreader trade association, franchiser, and/or the American Retreaders Association for quality only within a 12-month period preceding the award of the contract. 21. Delivery:  Under the agreement of this specification after notification from the Henderson county Board of Education, the qualifying retreader shall be required to pick up casings, retread and return to the Board of Education Transportation Department within 7 – 10 days. Approval of Qualifications:  Retread tires purchased by the Henderson County Board of Education for use on Kentucky school buses shall have been qualified for use by the Kentucky Department of Education, Division of Pupil Transportation. Qualifications shall require wet traction test comparison to a control tire with all pertinent testing information, technical data, and tire description on file within the Kentucky Department of Education, Division of Pupil Transportation. Additional issues to follow: 1. Minimum treat thickness 18/32, Flex fuel recap minimum 17/32. 2. No section repairs 3. No recaps after 7 years from original DOT date. 4. 295/22.5 and 275/22.5 tires can only be mounted on a 8.25” rim. 5. Caps should be returned in 2 weeks. 6. Please specify in bid any buy back options, for example (we will credit back $50 for every good virgin casing not over 7 years old and $25 for good once capped within 7 years old). 7. Please quote, if interested, the price per tire to dispose of rejected tires. 8. It is the responsibility of the vendor to provide a list with DOT numbers of the tires picked up for retread at the time of pickup. Successful bidders shall provide a billing invoice for each purchase that reflects at least the following information: 1. The suppliers name 2. School, Federal Program or Board of Education and address 3. Date of purchase and shipment 4. Purchase order number 5. Established current publisher’s price 6. Complete listing of all items 7. Amount of discount to school board or contract price 8. Net costs to Board of Education, various schools or Federal Program 9. It shall be a breach of ethical standards for any employee with procurement authority to participate directly in any proceeding or application; request for ruling or other determination; claim or controversy; or other particular matter pertaining to any contract, or subcontract, and any solicitation or proposal therefor, in which to his knowledge: a) He, or any member of his immediate family has a financial interest therein; or b) A business or organization in which he or any member of his immediate family has a financial interest as an officer, director, trustee, partner, or employee, is a party; or c) Any other person, business, or organization with whom he or any member of his immediate family is negotiating or has an arrangement concerning prospective employment is a party. Direct or indirect participation shall include but not be limited to involvement through decision, approval, disapproval, recommendation, preparation of any part of a purchase request, influencing the content of any specification or purchase standard, rendering of advice, investigation, auditing, or in any other advisory capacity. 2. It shall be a breach of ethical standards for any person to offer, give, or agree to give any employee or former employee, or for any employee or former employee to solicit, demand, accept, or agree to accept from another person, a gratuity or an offer of employment, in connection with any decision, approval, disapproval, recommendation, preparation of any part of a purchase request, influencing the content of any specification or purchase standard, rendering of advice, investigation, auditing, or in any other advisory capacity in any proceeding or application, request for ruling or other determination, claim or controversy, or other particular matter, pertaining to any contract or subcontract and any solicitation or proposal therefor. 3. It is a breach of ethical standards for any payment, gratuity, or offer of employment to be made by or on behalf of a subcontractor under a contract to the prime contractor or higher tier subcontractor or any person associated therewith, as an inducement for the award of a subcontract or order. 4. The prohibition against conflicts of interest and gratuities and kickbacks shall be conspicuously set forth in every local public agency written contract and solicitation therefor. 5.
