NOTICE OF PIPELINE APPLICATION The REGULATORY COMMISSION OF ALASKA (Commission) gives notice that ExxonMobil Pipeline Company (EMPCo) and BP Transportation (Alaska) Inc. (BPTA) (collectively the Applicants) filed a joint application on November 5, 2019, requesting approval to transfer of a 5.0% ownership interest in PTE Pipeline, LLC (PTEP), holder of Certificate of Public Convenience and Necessity (CPCN) No. 746, from EMPCo to BPTA. Docket No. P-19-019 was opened to address this matter.
The transaction proposed in the application filed in Docket No. P-19-019 is part of a larger series of transactions under consideration in Docket Nos. P-19-015, P-19-016, and P-19-017. In Docket No. P-19-015, BP Pipelines (Alaska) Inc. (BPPA) and Harvest Alaska, LLC (Harvest Alaska) requested approval of the transfer of BPPA’s indirect 32.0% ownership interest in PTEP through the transfer of BPPA’s 100% stock ownership interest in BPTA to Harvest Alaska. Currently BPTA owns 32% of PTEP. If the
Commission grants the application filed in Docket No. P-19-015 and the application filed in Docket No. P-19-019, BPTA will own 37% of PTEP. The proposed transfer of 5.0% interest in PTEP from EMPCo to BPTA is intended to align ownership of PTEP with the anticipated ownership percentages in the Point Thomson Unit after the completion of the sale of BP Exploration (Alaska) Inc. assets to Hilcorp Alaska, LLC (Hilcorp Alaska).
With the application, the BPTA and Harvest Alaska filed a motion for waiver of providing audited financial statements required by 3 AAC 48.625(a)(7)(B). Harvest Alaska, Hilcorp Alaska, and Harvest Midstream I, L.P. have filed a petition to keep their audited and unaudited financial statements confidential. Interested persons may file a response to the waiver request and the petition for confidential treatment with the Commission by the end of the comment period.
