EVERY DAY.\n" "THIRD RENEWAL TO AGREEMENT BETWEEN\nTHE SCHOOL BOARD OF DUVAL COUNTY, FLORIDA, AND\nBLACKBOARD INC.\n\nTHIS THIRD RENEWAL TO AGREEMENT (the \u201cRenewal\u201d) is effective July 1, 2022, and is\nby and between The School Board of Duval County, Florida (the \u201cDistrict\u201d), and Blackboard\nInc., a Delaware corporation authorized to transact business in Florida (\u201cContractor\u201d).\n\n1: Background. This Amendment pertains to that certain Agreement for External Web\nCustomer Management System and Hosting Services, awarded by the District pursuant to\nRFP No. 03-18/TW, between the District and the Contractor dated effective July 1, 2018\n(the \u2018Agreement\u201d).\n\n2. Effective Date; Definitions. The effective date of this Renewal is July 1, 2022. The\ncapitalized terms used herein shall have the same definitions set forth in the Agreement,\nunless specifically otherwise indicated in this Amendment.\n\n3. Extension and Amendment. The parties agree to amend the Agreement as follows:\n\nA. The District and Contractor agree that the term ofthe Agreement, which is\nscheduled to end on June 30, 2022, is hereby renewed and extended through June\n30, 2023, with such extension to be upon and subject to all ofthe terms, provisions,\nand conditions of the Agreement except as modified in this Amendment. Pursuant\nto section 1.4 of RFP No. 03-18/TW, there is one (1) remaining potential one-year\nrenewal period.\n\nB. The District's maximum indebtedness for the Contractor\u2019s services for this\nrenewal term shall not exceed $222,344.86, as set forth in Exhibit A hereto, and is\npayable pursuant to the terms ofthe Agreement. Ifthere are any conflicts between\nthe Agreement and Exhibit A, the terms and provisions of the Agreement shall\nzantral.\n\n4. Employment Eligibility. Contractor will comply with the relevant provisions of section\n448.095, Florida Statutes, concerning verification of employment eligibility.\n\n5. If the District utilizes any federal funds for its payment pursuant to the Agreement,\nthen upon the District!'s written request, the Contractor shall re-execute and deliver to the\nDistrict those federal forms set forth in RFP 03-18/TW, all of which will be incorporated into\nthis Amendment by this reference (specifically, the Federal Regulatory Compliance\nStatement, Certification Regarding Drug-Free Workplace Requirements, Certification\nRegarding Debarment, Suspension, Ineligibility and Voluntary Exclusion, and Non-\nCollusion Affidavit).\n\n6.
