Bysubmissionofthisbid,theProspectiveContractorcertifies,andinthecaseofajointresponse,each partytheretocertifiesastoitsownorganization,thatinconnectionwiththisbid: Thepricesinthebidhavebeenarrivedatindependently,withoutcollusion. Nopriorinformationconcerningthesepriceshasbeenreceivedfrom,orgivento,acompetitive company. B. UAPBwilldemonstratereasonablecarebutwillnotbeliableintheeventofloss,destructionortheftof Contractorownedequipmentorsoftwareandtechnicalandbusinessoroperationsliteraturetobedelivered ortobeusedintheinstallationofdeliverablesandservices.TheContractorwillretaintotalliabilityfor equipment,softwareandtechnicalandbusinessoroperationsliterature.UAPBwillnotatanytimebe responsiblefororacceptliabilityforanyContractorowneditems. PrevioussectionsofthisBidSolicitationmaycontainadditionalconfidentialityRequirements. 3.8 CONTRACTINTERPRETATION ShouldUAPBandContractorinterpretspecificationsdifferently,eitherpartymayrequestclarification.Howeverif anagreementcannotbereached,thedeterminationoftheStateisfinalandcontrolling. 3.9 CANCELLATION A. Continuethecontractineffectandtherebyentitledtoenforceallrightsandremediesunderthe contract;or 2. INVOICING:TheContractorshallbepaiduponthecompletionofallofthefollowing:(1)submissionofanoriginal andthespecifiednumberofcopiesofaproperlyitemizedinvoiceshowingthebidandpurchaseordernumbers, whereitemizedintheBidSolicitation,(2)deliveryandacceptanceofthecommoditiesand(3)properandlegal processingoftheinvoicebyUAPB.Invoicesmustbesenttothe"InvoiceTo"pointshownonthepurchaseorder. 20. STATEPROPERTY:Anyspecifications,drawings,technicalinformation,dies,cuts,negatives,positives,dataorany othercommodityfurnishedtotheContractorhereunderorincontemplationhereofordevelopedbytheContractor forusehereundershallremainpropertyofUAPB,shallbekeptconfidential,shallbeusedonlyasexpressly authorized,andshallbereturnedattheContractor'sexpensetotheF.O.B.pointprovidedbytheUABP.Contractor shallproperlyidentifyitemsbeingreturned. 21. PATENTSORCOPYRIGHTS:TheContractormustagreetoindemnifyandholdUAPBharmlessfromallclaims, damagesandcostsincludingattorneys'fees,arisingfrominfringementofpatentsorcopyrights. 22. ASSIGNMENT:Anycontractenteredintopursuanttothissolicitationshallnotbeassignablenortheduties thereunderdelegablebyeitherpartywithoutthewrittenconsentoftheotherpartyofthecontract. 23. LACKOFFUNDS:TheUniversityofArkansasatPineBluffmaycancelacontracttotheextentfundsarenolonger availableforexpendituresundersaidcontact.Anydeliveredbutunpaidgoodswillbereturnedinnormalcondition tothecontractorbytheUniversity.IftheUniversityisunabletoreturnthecommoditiesinnormalconditionand therearenofundslegallyavailabletopayforthegoodsthecontractormayfileclaimwiththeArkansasClaims Commission.Ifthecontractorhasprovidedservicesandtherearenofundslegallyavailabletopayfortheservices, thecontractormayfileclaimalso. 26.
