(SPD or Division) seeks to establish a Price Agreement for Vehicle Decals, including stickers, emblems, wraps, stripes, letter, and labor. It is understood that no guarantee or warranty is made or implied by either the State Purchasing Division or the State Parks Division that any order for any definite quantity will be issued under this Price Agreement. The successful bidder is required, upon award of this Price Agreement, to furnish the items and service in accordance with the articles for each order issued. Term: The term of this Price Agreement shall be for one (1) year from date of award with an option to extend for a period of three (3) additional years, on a year-by-year basis, by mutual agreement of all parties and approval of the New Mexico State Purchasing Agent at the same price, terms, and conditions. This Price Agreement shall not exceed four (4) years. Vehicle Wraps and Decals: This category describes services, materials and specifications for marking EMNRD- State Parks Division Law Enforcement and Maintenance vehicles, which includes: 1) designing/creating new designs and modifying existing designs, 2) furnishing and installing decals and wraps on various vehicles as required, 3) miscellaneous repairs on previously decaled or wrapped vehicles as needed. Design Services: Includes all services regarding creation of new designs, setup, proofing and editing of existing designs at a set hourly rate. Art Work Memo: Upon completion of work, all preparation materials, including artwork, type, plates, negatives, positives, color separations, mechanicals and any related materials shall become the property of the State of New Mexico’s ordering agency. Award: In order to provide EMNRD – State Parks Division with the widest possible variety of goods and services multiple awards may be issued for ALL items. Determination for award shall be based upon the lowest total cost of each item listed per category or based upon the total lowest cost per category and the bidder's abilities to meet the "minimum and submittal requirements" of the Invitation to Bid, whichever is in the best interest of the State of New Mexico. Payment Provisions: Within fifteen (15) days after the date the Department receives written notice from the Contractor that payment is requested for services, construction or items of tangible personal property delivered on site and received, the Department shall issue a written certification of complete or partial acceptance or rejection of the services, construction, or items of tangible personal property. If the Department finds that the services, construction, or items of tangible personal property are not acceptable, it shall, within thirty (30) days after the date of receipt of written notice from the Contractor that payment is requested, provide to the Contractor, a letter of exception Description explaining the defect or objection to the services, construction, or delivered tangible personal property along with the details of how the Contractor may proceed to provide remedial action. Upon certification by the Department that the services, construction, or delivered tangible personal property have been received and accepted, payment shall be tendered to the Contractor within thirty (30) days after the date of certification. If payment is made by mail, the payment shall be deemed tendered on the date it is postmarked. After the thirtieth (30 th) day from the date that written certification of acceptance is issued, late payment charges shall be paid on the unpaid balance due on the contract to the Contractor at the rate of one and one half percent (1-1/2%) per month. Final payment shall be made within thirty (30) days after the work has been approved and accepted by the Department's Secretary or his duly authorized representative. The Contractor agrees to comply with state laws and rules pertaining to Worker's Compensation Insurance coverage for its employees. If Contractor fails to comply with the Worker's Compensation Act and applicable rules when required to do so, the Price Agreement may be cancelled effective immediately. Tax Note: Price shall not include state gross receipts tax or local option tax. Such tax or taxes shall be added at time of invoicing at current rate, and shown as a separate item to be paid by user. Shipping Note: Prepay freight and add to invoice as a separate item. Escalation/Reduction : Contractor shall keep pricing fixed for at least the first 12 months of this Agreement. Thereafter, EMNRD, State Parks Division and the Contractor, upon final approval by State Purchasing Division, may adjust pricing no more than once annually by agreement amendment. Contractor shall submit all pricing increase request to EMNRD, State Parks Division in writing and provide substantiating evidence that each request is based on demonstrable market changes impacting the cost of products and services. This request must show all proposed increases by line item and include supporting documentation acceptable to State Purchasing Division. State Purchasing Division may require Contractor to provide U.S. Bureau of Labor Statistics Producer Price Index or Consumer Price Index data or any other relevant manufacturer or industry data substantiating the increase. However, a price increase may not produce a higher profit margin for Contractor than at the beginning of the initial term of this Agreement. The increase may not exceed 2% of the price immediately before the increase. Pricing changes will apply to Contracts and amendments to contracts entered on and after the effective date of the price change. Price decreases as well as increases shall apply. If vendor’s prices are reduced for any reason, users shall receive the benefit of such reductions. Price increases will not be retroactive to orders already in house or backorders. Orders will be filled at the price in effect on the date of receipt of the order by the vendor. To facilitate prompt consideration, all requests for price increase must include all information listed below: 1. Contract Item Number 2. Current Item Price 3. Proposed New Price 4. Percentage of Increase 5. Mill/Supplier Notification of price increase indicating percentage of increase including reason for increase. Brand Name or Equal: The use of a brand name is for the purpose of describing the standard of quality, performance and a characteristic desired and is not to limit or restrict competition. Please note: Vendors must bid specifically as requested in bid specifications. Proofs: When proofs are requested, the Department will provide vendor a maximum of two (2) calendar weeks after receipt of request, to provide the proofs. Proofs shall be provided at no additional cost to the Department. Printing Preparatory Materials: All printing composition artwork, electronic or otherwise, such as artwork, PDFs and any other related items are the property of the State of New Mexico, Energy, Minerals, and Natural Resource Department, State Parks Division. Vendors must hold secure all artwork and related items for a minimum of one (1) year after completion of order. Infringements : The vendor shall defend, protect, and save harmless the State of New Mexico and the Energy, Minerals, and Natural Resource Department, State Parks Division, its officers, agents, and employees against all suits of law or inequity and from all damages, claims, or demands for actual or alleged infringement of any patents or copyrights for the use of security features provided by the vendor for the specified items. Nor will the EMNRD, State Parks Division be held liable for vendors falsely claiming to hold patents/copyrights or Sole Source status applicable to the items covered by this Agreement. Hold Harmless Clause: Contractor shall indemnify and hold harmless the State, its officers, and employees, against liability, claims, damages, losses, or expenses arising out of bodily injury to persons or damage to properties caused by, or resulting from, Contractor's and/or its employees, own negligent acts or omissions while Contractor, and/or its employees perform or fail to perform its obligations and duties under the terms and conditions of this Price Agreement. This Save Harmless and Indemnification Clause is subject to the immunities, provisions, and limitations of the Tort Claims Act (Section 41-4-1, et seq., NMSA 1978 Comp. and Section 56-7-1 NMSA 1978 Comp.) and any amendments thereto. It is specifically agreed between the parties executing this Price Agreement that it is not intended by any of the provisions of any part of the Price Agreement to create the public or any member hereof a third party beneficiary or to authorize anyone not a party to the Price Agreement to maintain a suit for wrongful death, bodily and/or personal injury to persons, damage to properties and/or other claims whatsoever pursuant to the provisions of this Price Agreement. Pick-up and Delivery : The vendor may be required to pick up vehicles from dealerships or NM Department of Information and Technology Radio Dispatch Centers in Albuquerque/Santa Fe, NM at no additional cost to the Agency. After requested services are completed the vendor may be required to deliver the vehicle to Santa Fe, NM. Delivery is to be within six (6) calendar weeks of receipt of order by vendor. The Department must be notified of any circumstance that would delay delivery of order. Vendor is completely responsible for the transportation of vehicle (s) until received and signed for by the Department in Santa Fe, NM.
