rel="nt of Schools\nEVERY SCHOOL. EVERY CLASSROOM. EVERY STUDENT. EVERY DAY.\n" "AGREEMENT BETWEEN THE SCHOOL BOARD OF DUVAL COUNTY, FLORIDA,\nAND ALLSTATE CONSTRUCTION, INC. FOR CARPENTRY AND REPAIR SERVICES\n\nThis Agreement is made and entered into effective July 1, 2022 (the \u201cEffective Date\u201d), and is by and\nbetween The School Board of Duval County, Florida (the \"District\"), and Allstate Construction, Inc., a Florida\n\ncorporation (the \u201cContractor\").\nWITNESSETH:\n\nWhereas, the District issued RFP No. 12-22/LM and all attachments thereto, dated on or about March\n\n1, 2022, entitled \u201cCarpentry and Repair Services\u201d (hereinafter \u201cRFP\u201d), a copy of which is attached hereto and\nincorporated herein by this reference as Exhibit A;\n\nWhereas, after free and open competition, Contractor submitted a proposal in response to the RFP, a\n\ncopy of which is attached hereto and incorporated herein by this reference as Exhibit B, and was selected as\n\nthe best responsive and responsible Contractor by the District (the *Proposal\u201d);\nWhereas, the Contractor is interested in and capable of performing the desired Services for the District\n\nand the District desires to have the\u2019Contractor perform the Services; and\nWhereas, the parties have reached an agreement on the Services to be performed and the payment\n\nfor the same, and therefore wish to set forth this understanding in writing in this Agreement.\nNOW, THEREFORE, in consideration of the mutual covenants and conditions contained herein, the\n\nparties agree as follows:\nARTICLE I\nSCOPE OF SERVICES\n\nThe recitals set forth above are true and correct and are incorporated into this Agreement by\n2\n\n1.1\nThe parties agree that the purpose ofthis Agreement is that the Contractor shall fully and timely\n\nthis reference.\n1.2\nprovide the District the Services in a manner in accordance with the District's objectives set forth in the RFP\nand this Agreement. The contract documents consist of this Agreement, the RFP, and the Proposal. In the\nevent of any conflict or ambiguity among these documents, the priority set forth in section 13.7.16 ofthe RFP\n\nshall apply.\nARTICLE Il\nCOMMENCEMENT AND RENEWAL\n\n2.1 See section 3.0 ofthe RFP with the initial term commencing July 1, 2022.\nThe Services shall commence according to the schedule set forth in the RFP, unless the District\n\n. 2.2\nnotifies the Contractor otherwise in writing.\n2. The Contractor represents and warrants it will use an adequate number of qualified individuals with\nsuitable training, education, experience, and skill necessary to perform the Services and the Contractor\nrepresents and warrants it will perform the Services in an efficient and cost-effective manner.\n\n6.2 The Contractor agrees and represents that all of the Services required hereunder shall be\nperformed by the Contractor as identified in the Proposal. Contractor's management and personnel shall be\nconsistent with the Contractor's proposal as provided during the Request for Proposal and selection process\nand shall not be removed or replaced without the Owner\u2019s written consent,\n\n6.3 Allthe personnel assigned by the Contractor and any subcontractor shall be authorized under\nstate and local laws to perform such Services, whether by appropriate license, registration, certification or other\n\"authorization.\n\n6.4 The Contractor agrees that it will rennove (within a mutually agreed upon period of time) from\nassignment under this Agreement any individual in its employ, if, after the matter has been reviewed jointly by\nthe District and the Contractor, the District requests such action in writing. Any such removal shall not\nnecessarily reflect on the capabilities or competence of the individual so removed. We anticipate spending $856,550 in the 2022-23 fiscal year on this contract.\n\nThat the Duval County School Board authorize the Board Chair or Vice Chair and\nSuperintendent to execute the contract upon form approval by Office of General\nCounsel.\n\nThat authority be delegated to the Superintendent or her designee to renew the\ncontract provided the terms and conditions are essentially the same as awarded and\nfunds are sufficient for renewal.
